Professional Services Proposal

We are excited to provide you (Client) a proposal on this project. KM Engineering will provide professional
services for the above -mentioned project in accordance with the following list of work further defined below.
The fees for each item are per the schedule below barring unforeseen circumstances.

Requirements prior to commencing work:
1. Signed proposal.
2. Title report and deed for subject property.
Assumptions & Exceptions:
1. Work not described in this proposal is excluded but, if requested, can be provided on a time and
materials basis per our standard hourly rates.
2. All review, permit, recordation, and associated fees will be paid by others.
3. KM Engineering will have full access to the site as necessaryfor any survey activities and site inspections.
4. The boundary for the site is in a state such that found monumentation, surveys and other instruments
of record, and lines of occupation are in general conformance without discrepancies. Should issues be
discovered KM Engineering will stop work and discuss the issues with the client, decide a course of
action, and determine if additional fees are necessary to complete the work.
5. We will not queue your project in our schedule until we have received a signed proposal. Any
discussions regarding schedule are subject to receipt of a signed proposal at the time of discussion.
General Conditions:
1. This project will be billed on a monthly basis on approximately the 15th of each month. Invoices are
required to be paid within 30 days. At KM Engineering's discretion late invoices are subject to a 1.5%
per month late fee.
2. Venue of any action arising out of or in connection with this agreement shall be in Ada County, Idaho.
For purposes of any such litigation, each of the parties hereby consents to the jurisdiction of the county,
state and federal courts in Ada County, Idaho.
3. This proposal is valid for 30 days.
4. This contract is nontransferable without express written consent provided from KM Engineering.

1. Aerial Photography and Property Line Exhibit
We will conduct an aerial flight of the subject property. Deliverables will include a 2436" exhibit that shows
accurate and detailed aerial photography with the property lines and property monumentation showing in the
background of the image. We will also provide you with the images so you can create your own exhibits as
needed.
2. Reimbursable Expenses
We will charge for reimbursable expenses per the following rates:

- Wide Format Copies
Current IRS Rate
$0.35/square foot
Other reimbursable expenses paid through KM Engineering will be billed at cost plus 10%.
