CORRESPONDING RIGHT OF WAY ACQUISITION COSTS FOR THE EXTENSION
OF OLD PARK PLACE
This FIRST AMENDMENT to the MEMORANDUM OF AGREEMENT FOR
COOPERATION AND COST SHARING ("First Amendment") is made this 28th day of April,
2026 ("Effective Date"), by and between the City of Eagle, a municipal corporation organized
under the laws of the State of Idaho ("City"), and the Eagle Urban Renewal District, an urban
renewal agency organized under the laws of the State of Idaho ("EURA").
WHEREAS, the EURA and the City previously cooperated regarding the funding of certain
roadway improvements;
WHEREAS, the EURA and City entered into a Memorandum of Agreement for Cost
Sharing with the City of Eagle for Construction Corresponding Right of Way Acquisition Costs for
the Extension of Old Park Place dated July 23, 2024 (MOA) in furtherance of their mutual desire to
cooperate and work together regarding the acquisition of necessary right of way and the construction
of the extension of Old Park Place from the dead end intersection of Aiken St. and Old Park Place to
the signalized intersection of Plaza Drive and Eagle Road ("Project");
WHEREAS, EURA and the City both benefit from the acquisition of the necessary right of
way then construction of the above -described extension of Old Park Place ("Project");
WHEREAS, construction of infrastructure such as street improvements within the
EURA boundaries conforms with the goals and objectives of the EURA and its revitalization
plan;
WHEREAS, the total estimated cost of the necessary right of way acquisition and
construction of the Old park Place extension from the dead-end intersection of Aiken St. and Old
Park Place to the signalized intersection of Plaza Drive and Eagle Road was one million nine
hundred thousand dollars ($1,900,000.00) on the Effective Date of the MOA;
WHEREAS, the EURA, in its normal budgeting process for FY 2024-2025 approved the
sharing of the Project cost equally (50-50) with the City with the amount to be contributed and
reimbursed by the EURA not to exceed nine hundred fifty thousand dollars ($950,000.00);
WHEREAS, the estimated cost of the Project including acquisition of the needed right of
way has increased and EURA is willing to contribute an additional $850,000.00, with no
additional matching funds from the City, which is to be used primarily for resolving the right of
way issues on the adjacent Walgreen's site;
WHEREAS, based upon the increase in the total estimated cost of the Project, the EURA
is willing to increase its funding commitment for the estimated cost of the Project so that its
contribution will not exceed one million eight hundred thousand dollars ($1,800,00.00).

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged and agreed, and in consideration of the.mutual promises and
covenants herein contained, the Parties agree to amend their Agreement as follows:
1. SECTION I.A.
This Section I.A. of the Agreement is amended so that the total amount of all
reimbursements by the EURA to the City shall now not exceed one million eight hundred
thousand dollars ($1,800,000.00) instead of nine hundred fifty thousand dollars
($950,000.00). The additional funding of $850,000.00 by the EURA does not require
additional matching funds from the City and shall be used to cover the costs associated
with resolving the right of way acquisition issues with the Walgreens site. Any EURA
funds remaining after resolving the right of way acquisition issues may be applied to the
rest of the project costs.
2. SECTION H.
The parties acknowledge and agree that the $950,000.00 referenced was approved in the
2024-2025 budget. With the increased amount of reimbursement noted above in Section
I.A., the total amount of all reimbursements by the EURA to the City shall now not
exceed one million eight hundred thousand dollars ($1,800,000.00).
3. SECTION III.A.
This Agreement is amended so that the Term of the Agreement will be through
September 30, 2028, or until construction of the Project involving the extension of Old
Park Place is completed and the EURA pays its share of the costs as described herein,
whichever occurs first.
4. All of terms and conditions contained in the Agreement shall remain the same and in full
force and effect.
