PROFESSIONAL SERVICES AGREEMENT
MASTER PLANNING
This Professional Services Agreement ("Agreement") is entered into this 24th day of March
2026, by and between the City of Eagle, an Idaho municipal corporation ("City") and LOGAN
SIMPSON DESIGN INC., ("Contractor"). The City and Contractor are sometimes collectively
referred to herein as the "Parties."
RECITALS
WHEREAS, the City desires to contract for professional planning services to prepare the
Pathways, Trails, Parks, Recreation, & Open Space Master Plan ("Plan") to guide the City's
parks, recreation, and open space development and programming;
WHEREAS, Contractor possesses the requisite qualifications, skills and the experience
necessary to provide master planning services for the integration of pathways, trails, open space,
parks, and recreation facilities and programming;
WHEREAS, Contractor shall provide all of the services and deliverables identified in
Exhibit A;
WHEREAS, the Idaho Legislature during its 2023 legislative session passed an act,
codified at Idaho Code § 67-2359, requiring public entities of the State of Idaho to include in
certain contracts for services (including any renewals of such contracts) a written certification that
the Vendor/Contractor is not currently owned or operated by the government of China and will not
for the duration of the contract be owned or operated by the government of China; and
WHEREAS, the Idaho Legislature during its 2021 legislative session passed an act,
codified at Idaho Code § 67-2346, requiring public entities of the State of Idaho to include in
certain contracts for services (including any renewals of such contracts) a written certification that
the Vendor/Contractor is not currently engaged in and will not for the duration of the contract
engage in a boycott of goods or services from Israel or territories under its control.
NOW THEREFORE, and in consideration of the mutual promises contained herein, the
Parties agree to the following:
1. Incorporation of Recitals: The above Recitals are a material part of this
Agreement and are incorporated into the Services of this Agreement by reference as though they
were fully set forth herein.
2. Services: The Contractor and/or its subcontractors shall provide the services and
deliverables as identified in Exhibit A attached hereto and incorporated herein. City may, at any
time, request that the Contractor perform additional work. The Contractor shall perform the
additional work upon mutual execution of an Addendum to this Agreement setting forth the
additional work, price and any other additional terms agreed upon by the Parties.

3. Ownership and Intellectual Property: All materials produced for the City by
Contractor under this Agreement shall become the property of the City except Contractor shall
retain sole ownership of any know-how, software, source code, tools and methodologies developed
by Contractor (hereinafter "Work Product"). Contractor hereby grants to City a royalty -free, non-
exclusive, worldwide, perpetual, fully transferable license to use, reproduce or create derivative
works of the Work Product.
4. Compensation: The Contractor shall be paid for its services in an amount not to
exceed one hundred and nineteen thousand, nine hundred and fifty-eight dollars and zero cents
($119,958.00) (the "Contract Amount") as identified in Exhibit B for each phase of work
performed. Contractor will be entitled to additional compensation beyond the Contract Amount
only upon mutual execution of an Addendum to this Agreement as described in Paragraph 2 above.
5. Additional Expenses: Usual and customary office expenses, as well as mileage
compensation, shall not be considered for reimbursement to the Contractor. However, should
other services be needed by the contractor prior written approval must be obtained by the City, for
said expenses to be available for reimbursement.
6. Equipment, Materials, Supplies: Contractor shall supply, at Contractor's sole
expense, all equipment, tools, materials, and/or supplies to accomplish the services to be provided
under this Agreement.
7. Payment: The Contractor shall submit an invoice for payment to Eagle City Hall,
P.O Box 1520, Eagle, Idaho 83616, and an electronic invoice to finance@cityofeagle.org.
Payment of Contractor's invoice cannot be made until a copy of Contractor's W-9 is provided to
the City. Payment shall be made within thirty (30) days of receipt invoice. Should the 30th day
fall on a weekend, the payment shall be due the following Monday.
8. Taxes: The Contractor assumes full and sole responsibility for payment of state
and federal income tax, withholdings, social security, and other payroll taxes on any income
attributable to the Contractor arising from compensation provided under this Agreement. As such
the contractor shall be required to submit a completed W-9 prior to payment of its invoice.
9. Independent Contractor: At all times during the term of this Agreement,
Contractor shall be an independent contractor and shall not be an employee of the City. City shall
have the right to control Contractor only insofar as the results of Contractor's services rendered
pursuant to this Agreement and the attached Exhibit A. City shall not have the right to control the
means and methods by which Contractor accomplishes services rendered hereunder. Contractor
shall indemnify the City against any liability arising out of an allegation or finding that Contractor
is not an independent contractor. Contractor is not entitled to employee benefit programs or any
protection afforded employees of the City of Eagle. Contractor is not prohibited from providing
the same services for other businesses at any time except times which would present a conflict in
providing City services under this Agreement. As a self-employed person, the Contractor will be
solely responsible for payment of all federal and state taxes, will not be an employee of the City

for worker's compensation or any other purposes, and will not have unemployment insurance
benefits.
10. Contractor not Agent: Except as City may specify in writing, Contractor shall
have no authority, express or implied, to act on behalf of City in any capacity whatsoever as an
agent. Contractor shall have no authority, express or implied, pursuant to this Agreement, to bind
City to any obligation whatsoever.
11. Nondiscrimination: Contractor agrees not to discriminate against any person
because of race, color, religion, sex, national origin, age, disability or marital status in any activity
for which Contractor is providing services under this Agreement.
12. Indemnification: Contractor agrees to indemnify and save and hold harmless City
from and for any and all losses, claims, actions, judgment for damages, or injury to persons or
property and losses and expenses and other costs including litigation costs and attorney's fees,
arising out of, resulting from, or in connection with the performance of this Agreement.
13. Notice: For clarification on, or direction regarding, day-to-day matters,
communication shall occur via e-mail or telephone with the designated Point of Contact to be
identified by the City. All other communications and/or notices required to be given by either of
the Parties shall be in writing and be deemed communicated when personally served, or mailed in
the United States mail, addressed as follows:

14. Compliance with Laws: Each party shall comply with all applicable Federal, State
and local laws and regulations.
15. Assignment: This Agreement may not be assigned or delegated by either party
without prior written consent of the other party.
16. Attorney's Fees: The prevailing party in any claims or disputes arising out of this
Agreement shall be entitled to recover reasonable attorney's fees in addition to other relief which
a court of competent jurisdiction may award.

17. Entire Agreement: This Agreement constitutes the entire agreement between
the Parties relative to the subject matter hereof. Statements or representations of any kind not
embodied herein shall be of no force or effect. This Agreement may only be modified in writing.
18. Governing Law: This Agreement will be construed in accordance with the laws
of the State of Idaho.
19. Heirs and Assigns: This Agreement and the terms and conditions hereof shall
apply to and are binding upon the heirs, executors, administrators and assigns of the parties hereto.
21. Statutory Certifications: In accordance with Idaho Code Section 67-2359
Contractor hereby certifies that it is not owned or operated by the Government of China, as defined
in said code section, and that during the Term of this Agreement it will not be owned or operated
by the Government of China.
In accordance with Idaho Code Section 67-2346 Contractor hereby certifies that it is not
currently engaged in, and during the Term of this Agreement will not engage in, a boycott of goods
and services from Israel or territories under its control as defined in said code section.
22. Severability: If any part of this Agreement is held to be invalid or unenforceable,
such holding will not affect the validity or enforceability of any other part of this Agreement so
long as the remainder of the Agreement is reasonably capable of completion.
23. Approval: The City and Contractor each acknowledge that this Agreement, even
though agreed upon by the City's representatives, is not binding upon the City until such time as
the Eagle City Council approves this Agreement and authorizes the Mayor to execute this
Agreement on behalf of the City.

EXHIBIT A
SCOPE OF SERVICES
Task 1: Internal Assessment and Project Administration
Project Coordination
Logan Simpson will conduct succinct biweekly (one (1) meeting every two weeks) meetings,
throughout the duration of the Agreement, with the Project Point of Contact and Project Advisory
Team (PAT) to coordinate consultant staff and subconsultant efforts, and track budget and
schedule to ensure quality and effective management to meet the expectations of the City Council.
Kick-off Meeting
Within the first two weeks, a virtual project kick-off meeting will be conducted to establish the
project schedule and work plan, understand previous and concurrent planning efforts, roles and
responsibilities, communication protocols, and to define project successes. During this virtual
kick-off, we will work to identify interested parties and City Staff ("Staff') for focus group
interviews comprised of essential Staff and stakeholders integral to the development and
maintenance of Eagle's pathways, trails, parks, recreation, and open space. Engaging with frontline
service providers deepens our understanding of the City's pathways, trails, parks, recreation, and
open space services and reveals both challenges and opportunities, offering valuable insights for
optimization strategies.
Initial Data Collection
We will start by gathering relevant data on demographics, land use, PTPROS assets (City owned
and/or managed), and financial metrics. In tandem with the review of existing documents, the
project team will schedule a Geographic Information Systems (GIS) data -gathering meeting with
Staff from Eagle's GIS Public Works Departments to understand available sources for geospatial
data based on the consultant team's data request list.
City Council and Parks, Pathways, & Recreation Commission
(PPRQ
Logan Simpson will facilitate three joint in -person meetings with City Council and the Parks,
Pathways and Recreation Commission to provide reports at three (3) Key Milestones of the
process, which are: Project Kick-off; Presentation of Key Recommendations; and Final
Presentation.
City Council will provide input and determine direction for the project. The Parks, Pathways, and
Recreation Commission will provide input and recommendations to the City Council for
consideration in the decision -making process. Logan Simpson will provide up to 2 additional
virtual meetings to present progress reports to City Council for additional input and direction, to
be scheduled on an as needed basis at the discretion of the City Council.
Logan Simpson will also track the progress of tasks and deliverables and prepare meeting materials
and milestone progress reports (for a total of 3) to be delivered to City Council and PPRC by Staff.

Key Milestones:

Presentation of draft key recommendations and highlights of the community engagement, public
engagement results, and needs assessment results that informed the recommendations.
Final Plan Presentation
Prior to public review, present the final recommendations and implementation plan. Staff will
manage and present during the adoption process.

Task 2: Public Outreach
Public involvement will take place throughout the duration of the plan and will provide a
foundation for understanding community values, setting goals, and developing recommendations.
With Kittelson leading the in -person community engagement, we will provide two summaries of
engagement results, one after each outreach phase, to the Advisory Work Group and the public.
To ensure that our engagement approach is successfully capturing diverse participation
geographically and demographically, all online engagement opportunities will be designed to
collect geographic and demographic information as provided by participants. Wherever possible,
digital participants will be prompted to share their email, name, place of residence, and
demographic information. This will allow us to track the degree to which respondents are
representative of the Eagle community and identify groups where further outreach may be needed.
Information collected will be subject to Idaho Public Records Law.
Public Involvement Plan
We will prepare a Public Involvement Pan (PIP) that defines the engagement strategy, roles,
communication methods, and measurable outcomes. The PIP will:
• Identify the composition of key Advisory Work Group members and anticipated
engagement levels.

• Review and summarize existing plans, and engagement efforts conducted by City of Eagle,
ACHD, Idaho Parks and Recreation and other stakeholder groups. Evaluation will
examine potential changes due to demographic conditions and community trends, land
annexation and other factors that impact community access to parks, trails and open space
recreation.
• Identify the key public outreach schedule, activities, and topics.
• Outline communication strategies on the following media channels: City website updates
(during the outreach phases), social media (City Social Media Channels), StoryMaps, and
partner newsletters.
• Define measures of success for engagement and tracking participation throughout the
project.
The PIP will be revisited during the project to ensure it continues to meet Eagle's needs and
supports momentum in community decision -making that identifies opportunity for new enhanced
trails, parks, and pathways.
Advisory Work Group
In addition to the in -person discussions with Staff during the site visit, community stakeholders,
regional policy makers, and local organizations will be invited to share input as an organized
Advisory Work Group. The work group will meet at key points in the project in three virtual
sessions to discuss context, review results, and draft recommendations. We will work with Staff
to identify these key partners, local organizations, and recreation interest groups with a special
focus on inviting underrepresented constituent groups to the Advisory Work Group such as special
user groups of PTPROS assets like the Southwest Idaho Mountain Biking Association (SWIMBA),
senior center program and youth group organizers, citizen groups, and organized outdoor
recreation groups. Other key stakeholders that should be considered include representatives for the
Valnova and Avimor communities, Bureau of Land Management area representatives, Idaho Parks
and Recreation, Ada County Highway District, Community Planning Association of Southwest
Idaho, Foundation for Ada/Canyon Trail Systems, Boise's Ridge to Rivers, and any neighboring
jurisdictions. In addition to forming this Advisory Work Group, we will conduct interviews with
key constituents or partners in tandem with our in -person site visit. Input gathered will help provide
direction and insight into important opportunities and challenges for the future PTPROS system
and its users.
Community -Wide Questionnaires
Logan Simpson will develop, deploy, and manage two online questionnaires with measurable
respondent tracking to ensure a well -distributed response. The first community -wide questionnaire
will quantify unmet need, priorities, and the need for system improvements for recreation and park
programs and facilities. The questionnaire will be administered online and by hard copy, if
requested, and promoted throughout the community. The second online questionnaire will allow
community members to share their input on proposed goals and policies, park and recreation
improvements, and funding priorities. This questionnaire will be deployed concurrently with the
community open houses events.

Questionnaires will collect demographic information to track responses and ensure that the return
rate accurately represents a sampling of the population across neighborhoods, demographics, and
user -groups. If a representative response is not reached, the project team will expand promotion of
the questionnaire in more targeted areas.
Open House Events
Community engagement will unfold across two distinct open house event series. The first will
explore future preferences for PTPROS facilities, amenities, and funding strategies in a community
event designed to encourage participation from groups that are typically underrepresented in
planning processes, including non -user groups. The second phase will focus on gathering
community feedback on the completed draft plan through a final open house. We will collaborate
with Staff to develop an event plan specific to each event. These events will be tailored to Eagle's
engagement (Eagle Fun Days) preferences and will include a mix of open -houses or pop-up
activities at parks or trailheads, with the goal of meeting people where they already recreate.
Kittelson and Logan Simpson will develop the materials, engagement activities, and local
Kittelson staff will facilitate these events with assistance from Staff. It is anticipated that the City
will assume the cost of venue rental and refreshments, if needed.
Project Promotion and Communications
Promotion and communications for the PTPROS Plan will be supported by the Logan Simpson
Team, while we would rely on Staff to lead the development of a project website, publication, and
promotion efforts via official City channels.
Printed Materials. Our team will work with the City's Project Manager to develop promotional
messaging for announcing the project and promoting engagement via official communication
channels and events. Logan Simpson will support the preparation of the written content for
promotional content such as flyers, hand-outs, mailers, or other creative products to encourage
plan engagement (up to three).
Social Media. Our team will assist with developing content narratives for announcing the project
and promoting engagement via official social media channels up to six times during the planning
process. We will rely on Staff to create and post promotional materials and manage user interaction
through official City communication channels.
Press Releases/Newsletters. Logan Simpson will draft press releases to share with local media at
two milestones in the planning process to announce: (1) the planning process and first public
engagement opportunities, and (2) release of the public draft plan and review period.
Sandwich Boards. To help advertise, we will place branded sandwich boards with easy -to -scan
QR codes at high -traffic parks, trailheads, and community gathering spaces throughout Eagle.
Locations may include Guerber Park, Reid Merrill Park, Eagle Sports Complex, and foothills
trailheads. Boards will include a brief project description and a QR code linking directly to the
online engagement.

The City of Eagle will develop a project page on the City's existing website and Staff will manage
updating this project page to include content like engagement summaries, assessment results, and
draft documents. Logan Simpson staff will develop written content for the webpage three times
during the project: at initiation to introduce the community to the process, at the conclusion of
Phase 1 engagement and the Needs Assessment to share results, and during draft plan public review
to direct the public to the document review platform where the community can review the
document and provide comments directly in a dynamic and conversational online environment.

• Two public open houses including materials, attendance, and summary
• Website content and written content for communications/promotional material
• Online Questionnaire design, deployment, and results tabulation including intercept
promotional materials

Task 3: Resource and Data Collection
Review of Existing Plans and Plan Outline
Logan Simpson will perform extensive research and review of existing local and regional plans,
maps, and policy initiatives that have implications for the Eagle PTPROS Plan to better understand
where there are gaps in existing outreach and data. The existing policy framework in critical
documents, such as the draft (not adopted) 2017 Parks and Recreation Master Plan, 2019 City of
Eagle Pathways and Trails Plan, the 2017 Eagle is HOME Comprehensive Plan, Ada County Parks
and Waterways Master Plan, and master planning documents from planned communities including
Valnova and Avimor that may influence the plan. This review will help guide an early document
outline that will direct each task moving forward.
Site Visit + Inventory and Assessment with Staff
Prior to a two-day site visit at the beginning of the planning process, our inventory of existing
pathways and trails, parks, recreation, and open space facilities will begin with a review of the
City's existing GIS inventory, considering equitable distribution of assets across the Eagle
community. We will assess the need to update the locations of known and planned facilities with
the help of Staff s institutional knowledge, if needed. During our two-day in -person site visit, we
will review and discuss conditions of the existing publicly owned assets, as well as associated
maintenance challenges. Properties will be toured by Logan Simpson and Staff to discuss ADA
accessibility, level of usage, current needs and challenges, and opportunities for improvements
throughout the system. Privately owned PTPROS assets will not be included in the park assessment
or in future recommendations unless managed by the City.
As part of the inventory, we will create interactive maps as a way for residents to explore maps
and data —existing parks, trail networks, planned developments, service gaps, and key

environmental features —without needing any technical background. Logan Simpson's expert -
level ArcGIS professionals will develop an interactive public data platform using Eagle's AGOL
account for easy transferability. During the public engagement phases, the map will be used to
collect additional community needs such as the locations of existing system deficiencies, safety
concerns, conflicts, needs, and trail gaps as well as preferred locations for new connections, parks,
and amenities.
Facility Assessment Matrix
The inventory will begin with the City's existing GIS data, maps, and existing inventory of
PTPROS facilities and will be heavily informed by the two-day site assessment visit. The GIS
inventory and maintenance assessment results will be translated to a Facility Assessment Matrix
to track characteristics of existing assets including classification, facility age, use levels, deferred
maintenance needs, and estimated percentage of amenities requiring lifecycle replacement in the
next 10 years. B*K will lead the creation of a Facility Assessment Matrix specific to Recreation
Facilities, while Logan Simpson will lead the analysis for Pathways and Trails, Parks, and Open
Space. The consultant team will rely on institutional knowledge of PTPROS maintenance Staff to
fill in details of the facility assessment matrix that are not clear from on -site maintenance
evaluation.
Deliverables:
Facility Assessment Matrix
Needs Assessment
Logan Simpson will conduct a Needs Assessment consisting of detailed analyses to determine the
"what" and the "where" of the Eagle community's PTPROS needs for improved quality or quantity
of services and amenities. The results of this assessment will guide recommendations for
implementation, prioritization, and funding.
National Benchmark Analysis. Eagle's current levels of service and operating metrics will be
compared to national benchmarks. Benchmarks help identify gaps and opportunities and the results
will be presented in a concise report and summary matrix.
Population -Based Level of Service Analysis. Level of service standards measure population served
per unit of park and open space acreage and trail mileage. We will update level of service
calculations, taking into account the role that HOA facilities play in providing facilities for certain
neighborhoods (if data is available), and compare against any targets established in the 2013 Parks
and Recreation plan, peer agencies in the Benchmark Analysis, and national standards to evaluate
if new targets are appropriate based on several factors including: ability to meet current level of
service target, population growth projections, and ability to acquire and maintain new PTPROS
land and facilities. This analysis will also identify underserved areas of Eagle where pathway and
trail, park, open space, or recreation resources are needed.
10-minute Walkability Analysis. A 10-minute walkability standard from residential areas to parks
and open space is a common metric used to assess access to parks and open space. This will
identify a walkable network (sidewalks, pathways, and trails) comprised of routes that provide safe

pedestrian access to parks and open space. The resultant map identifies gaps in the City's walkable
network and areas deficient in parks or open space and will address key areas for regional
pedestrian connectivity.

Task 4: Implementation, Prioritization, & Funding
Vision, Goals, and Policies
Through the initial phase of community engagement, our team will gain an enhanced knowledge
of the community's shared recreation values, preferences for park and open space experiences,
barriers to access, and priorities for future investment. Through this understanding, we'll work
with the project team to cast a bold vision statement and guiding principles for the future of Eagle
PTPROS that provide a supporting framework for the development of goals and policies for parks,
recreation, and open space.
Pathways and Trails, Parks, Recreation, and Open Space
Recommendations
Our team will synthesize the findings from community input standards, demographics and trends
analysis, park and facility inventory, recreation services assessment and walkability service area
mapping into future recommendations. All recommendations will be vetted and refined before
finalization This task further includes developing or updating parks, pathways and trails, and open
space facility classifications as necessary. The mapping, based on community input, will include
the location of probable future parks, recreation facilities, open space acquisition, and event facility
locations, as desired.
Maintenance, Staffing, and Operations Recommendations
We will evaluate key elements of the City's PTPROS operations across the Public Works and
Recreation Departments: staffing levels, capacity, and expenditures; maintenance operational

standards; and organizational philosophy. This includes assessing the structure of maintenance
operations to consider a centralized vs. decentralized maintenance "hubs"; evaluating maintenance
staff capacity to meet current demand and future demand if the system is expanded; and identifying
current and future staffing resources needed and recommendations to the organizational structure.
This analysis will detail staffing adjustments based on benchmark data, desired level of service,
and estimated required budget modifications to support new program recommendations.

Financial Assessment
Our team has experience with understanding governmental accounting and revenue sources
including general fund taxes, user fees, memberships, sponsorships, grants, and public -private
partnerships. To ensure long-term financial sustainability for park amenities, facilities, programs
and events, this task includes an analysis of Eagle's revenue and operational budget history and
how costs are assigned to Pathways and Trails, Parks, Recreation, and Open Space programs and
facilities. This assessment will also include an evaluation of the estimated cost of newly identified
capital projects, previously identified unfunded PTPROS projects, lifecycle replacement cost for
the existing system, and projected maintenance costs against projected revenues to reveal if there
is capital funding gap for PTPROS.
Partnerships, Funding Strategies, and Fee Recommendations
The plan will identify specific, viable funding options that have proven to be successful nationally
and are resilient to change. Our team will evaluate funding strategies across three categories and
identify those that are most appropriate for Eagle:
Dedicated Funding. These funds are appropriated or set aside for a limited purpose (such as
dedicate taxes, special taxing districts, or the Conservation Education Program).
Earned Income. Revenue generated by fees, facility rentals, other sources where the agency is paid
for services or what they provide will be evaluated to better understand cost recovery opportunities.
Financial Support. Funds acquired by applying for grants, philanthropic fundraising, corporations,
as well as state and federal sources.
We will examine Eagle's land use code for potential improvements or recommended studies to
update impact fees and dedications, including park impact fee reimbursements, as part of the
Funding Strategies and Fee Recommendations deliverables under this Agreement.
This will also include a review of cost recovery goals for PTPROS assets. From that discussion
and budget review, the consultant team will analyze fees for facilities, programs, and services.
Implementation Action Plan
We will produce a quick -reference implementation action plan that summarizes concrete
recommendations including details such as action type ("additional planning," "capital project",
"code amendment", etc.), and timeframe (short term, intermediate, and long-range actions).

Plan Production and Adoption
Logan Simpson will prepare an administrative draft in Microsoft Word for core Staff review, then
incorporate consolidated comments into a visually compelling draft as well as a WCAG-compliant
draft for public and commission review and prepare a final draft for adoption by City Council.
Technical reports and maps will be included as supporting appendices as determined in
collaboration with Staff.
