AMIGOS MEMBERSHIP AGREEMENT
This Membership Agreement is to record the understanding between AMIGOS LIBRARY SERVICES
(Amigos) and EAGLE PUBLIC LIBRARY (Member) regarding the terms and conditions on which
Amigos will provide library information products and services to Member.
1. Rights, privileges, and obligations of Membership.
1.1 Member is granted a voting membership in Amigos Library Services. Member shall register
an official voting representative from its institution with the Office of the President and
Chief Executive Officer. Member in good standing shall be entitled to cast one vote under
the terms specified in the Amigos Bylaws.
1.2 Any application or agreement required by any vendor as a condition for access to or use of
the vendor's services provided under this Agreement will be provided to the member for
review and execution unless Member directs Amigos to sign on their behalf. Member
agrees to observe the contractual terms for such services, including licensing agreements
and other established provisions for use of library information systems and products upon
review and execution of agreements for such services.
1.3 Member agrees to pay for services rendered and products or equipment delivered upon
receipt of a properly executed invoice. Failure to pay within 120 days may result in
suspension of all services.
2. Services.
2.1 Amigos will provide to Member services and products at the prices and on terms Amigos
will promulgate from time to time. Schedule A (the annual Amigos fee schedule) and any
subsequent revisions are hereby made a part of this Membership Agreement.
3. Warranties.
3.1 Amigos pledges that if for any justifiable cause it is impossible to provide services, Amigos
will return all funds received for the unused portion of the contracted services.
3.2 Member acknowledges its sole responsibility for any claim or liability to the extent caused
by Member or any of its employees, agents, or assigns, concerning Member's use of
services and products provided under this Agreement.
3.3 AMIGOS MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY
WARRANTY WITH REGARD TO THE FITNESS FOR A PARTICULAR PURPOSE
OR MERCHANTABILITY NOR TO TITLE OR AGAINST INFRINGEMENT, OF ANY
SERVICE OR PRODUCT PROVIDED PURSUANT TO THIS AGREEMENT.
4. Termination of Membership.
4.1 This Membership Agreement may be terminated on 90 day written notice by either party.
The Membership Agreement may also be terminated by Member with a 30-day written notice
after receipt of a price adjustment.
4.2 If a governmental body is appropriating funds for Member and does not allocate funds
needed to make payments beyond Member's then current fiscal period, Member may
terminate the Membership Agreement on 30 day written notice citing the appropriation
change.
4.3 Following 30 day written notification that Member has failed to observe contractual
responsibilities of Membership as specified in Paragraphs 1.2 — 1.3, Amigos may suspend
services and Membership privileges for the period in which the Member is in violation.
Upon review of Member violation of said contractual responsibilities, the Amigos Board of
Directors may terminate Membership immediately, notwithstanding Paragraph 4.1.
4.4 Suspension of services, resignation or termination of Membership shall not relieve Member
of the obligation to pay fees, assessments, or other charges, if any, theretofore accrued and
unpaid.
5. Other.
5.1 This Membership Agreement shall take effect upon the latest date of execution by duly
authorized representatives of Amigos and Member. The Agreement shall be automatically
renewed annually on July 1st of each successive year and is subject to termination provisions
of Section 4.
5.2 This Membership Agreement shall be governed by, subject to, and construed in accordance
with the laws of the State of Texas.

Membership fees are based on a library's most recent operating budget data as published by the National
Center for Education Statistics, the Institute of Museum and Library Services, a state library, or as self -
reported by the organization to Amigos. Operating budget is defined as the total of all costs involved in
supporting library or information services and operations for a 12-month period. The operating budget
includes all expenses, regardless of the funding source.
Special negotiated membership fee for July 1, 2026, to June 30, 2027, would be $1,000.
Membership includes the benefits below at no charge:
• Reeistration for:
o Know & Go Sessions are regularly scheduled, one -hour online sessions covering topics of
current interest, designed for both group and individual participation. Members can also
access the recordings of these training sessions at any time.
o Online Conferences provide in-depth discussions of critical topics from the comfort of your
workspace and are scheduled regularly throughout the year. Recordings of previous
conferences are also available.
o Live Online Courses (single and multi -part) are offered on a wide range of topics to provide
opportunities for staff at member libraries to learn new skills and deepen their knowledge.
• RDA Toolkit Subscriptions for a single, simultaneous user are provided by Amigos to all members.
Amigos also offers additional simultaneous user subscriptions at 15% off ALA's list price.
• Membership in the NISO Library Standards Alliance provides free educational webinars and
opportunities to review draft standards and participate in important committees.
• Purchasing power through Discount Direct gives members the ability to order library supplies and
furniture directly from vendors at a negotiated discount. Popular participating vendors include
DEMCO, Brodart, and Gaylord.
• Free job postings on the Member Job Bank give job openings at member libraries nationwide exposure;
openings are listed for 30 days or until the position is filled.
• The Amigos Reciprocal Borrowing Aereement saves time and money for signers, who consent to loan
and make copies (up to 50 pages) at no charge to each other.
• Attendance at the Amigos Annual Member Conference, an online day of diverse programs and key
program updates.

The prominent feature of the fee schedule is the Amigos Membership Pricing. Pricing for individual
Amigos services is available on request, as those prices depend on specific factors. For example, prices
for Amigos Member Discount Services might be based on the population served, number of
simultaneous users, or volume; pricing for continuing education services depends on the length of
courses.
NOTE: This FY2025/26 Amigos Fee Schedule A, an addendum to your Amigos membership agreement, is
effective July 1, 2025.

Registration with member and non-member pricing is available for workshops in cataloging, metadata,
reference, technology, management, and other topics. Amigos online conferences and Know & Go

Five-day service, three-day service, two-day service, intra-city or intra—regional service. Price quotes
