GOVERNMENT AUCTION SALES AGREEMENT

This agreement between the City of Eagle who shall hereinafter be referred to as
"consignor", and Westate Auction and Firearms LLC doing business as Musick Auction of
1110 E Karcher Rd, Nampa, ID 83687&1346 N Hickory Ave, Meridian ID 83642,who shall
hereinafter be referred to as "sales agent".This constitutes the entire agreement between
"consignor and sales agent" covering advertising, auctioneer, &sale of, but not limited to
the personal property of the consignor. Sales Agent to provide services as generally
identified in Exhibit A and B. Consigner identified Personal Property items as listed in
Exhibit C.The auction will be conducted as a timed online auction at
wwvv.musickauction.com.
Regular Consignment Items
The sales agent reserves the right to decline any items.The sales agent assumes no risk of
loss or damage.The risk of loss or damage always remains with the consignor.The sales
agent assumes no responsibility for any.materials deemed to be hazardous.The consignor
certifies that items consigned are owned by them &they have the right to sell them. It is
also understood that all items consigned for auction are free from all liens and
encumbrances.The sales agent reserves the right to conduct a UCC lien search through
the Idaho Secretary of State under all parties listed herein.
Consignor understands and agrees it will be at the sales agent's discretion to sort&create
the lots to be placed online, using experience &knowledge to maximize the item's
marketability.
The consignor and sale agent agree that unless consignor sets a Reserve Price for a
consigned item, all items consigned are to be sold with NO MINIMUM OR RESERVE.The
sales agent assumes no responsibility for lost or damaged items.All items are subject to
the current bidding market.The sales agent gives no guarantee to the purchase price of
consigned items&will not be held liable for the price at which items are sold.
The commission payable by the consignor to the sales agent is identified in Exhibit A and B.
Please allow fourteen (14) business days after consigned items have been paid for to
receive settlements in the form of a check. All settlements will be held at the sales agent's
premises, 1110E. Karcher Rd., Nampa, ID 83687 or 1346 N Hickory Ave, Meridian ID 83642.
Sales Agent certifies that in accordance with Idaho Code Section 67-2359 consignor
hereby certifies that it is not owned or operated by the Government of China, as defined in
said code section, and that during the Term of this Agreement it will not be owned or
operated by the Government of China. Further, consignor hereby certifies that it is not
currently engaged in,and during the Term of this Agreement will not engage in,a boycott of
goods and services from Israel or territories under its control as defined in Idaho Code
Section 67-2346.

EXHIBIT A
Auction Services -structures (personal property)
Musick Auction agrees to provide the following services at the stated costs:
AVAILABILITY OF AUCTION DATE-To be determined after award and further consultation
with the City of Eagle
1. COMMISSION PAYABLE:The Commission Rate is 10% of the gross Hammer Price.
2. ADVERTISING/MARKETING:We offer a qualified and active bidder pool.We achieve
this by leveraging various multimedia methods and tactics.These include the Musick
Auction website, print ads, billboards, social media, online ads, and email blasts
Preview-A Preview Date will be included in the auction listing with day/time agreed
upon by both parties. Possible preview dates could be the day prior to the auction, or
several hours before the auction.
Upon Award - We will begin print advertising in a local newspaper including
Public Notice of Surplus Sale in the newspaper classified section.We will include the
property in multiple email blasts to over 22,000 past bidders and winners.The listing will be
advertised across multiple social media channels as well as a display ad in the Idaho Press
weekend edition with distribution in the greater Boise DMA.
3 Weeks Before Auction Date-Begin print advertising in local newspaper including
Public Notice of Surplus Sale in newspaper classified section. Send Email Blast.Advertise
on social media (includes Facebook, Instagram,X, NextDoor, Google & Linkedln)
2 Weeks Before Auction Date-Auction is uploaded onto the Musick Auction
website.Auction event is advertised online via social channels and marketplaces with call
to action online auction links. Paid social media ads are employed with an online auction
hyperlink.An Email Auction Alert is sent with auction highlights and links to our subscriber
pool.The solicitation of past bidders by phone and email begins. Prior bidders from past
auctions are invited to attend and emailed a link to the auction.
1 Week Before Auction Date-Display ad placed featuring top inventory highlights in
Idaho Press. Paid social media ads continue until auction day. Email Auction Alert twice on
the week of auction (the second one will be the day before auction)to our 22,000+ list of
bidders&buyers. Follow up with the phone and email solicitation of past bidders, including
answering questions they have and confirm interest and attendance.
3. Transportation-The move of the house is the winning bidder's responsibility.
Musick will note this in our listing, and give consultation to the winner, including the
provision of a list of proven and reputable house movers.The City of Eagle will determine
the amount of time they will allow the winner to get the house moved.
4. Liability-Musick Auction will provide Proof of License, bond and insurance.
EXHIBIT B
Auction Services -general personal property
1. GENERAL COMMISSION PAYABLE:The Commission Rate payable by the consignor
to the sales agent shall be 20%based on a per lot(individual listing)) basis.The fees are
deducted from the gross proceeds received from the sales and final hammer price before
premiums.Also,the sales agent will collect a buyer's premium from the buyer, payable to
the auction company.
2. VEHICLE/TITLED CONSIGNMENT COMMISSION:The fees are as follows and are
assessed on a per-vehicle basis.
• $150 Per Vehicle/Titled Item Heavy Equipment
• 10%Commission
The sales agent auctions the vehicles in the condition they are brought to us.To help
maximize the amount of profit each vehicle will potentially bring please drop off vehicles
with at least 1/4 tank of fuel, in operable condition, &clean/detailed. If the dealer does not
bring the vehicle that meets the cleaning/detailing requirements,the sales agent reserves
the right to charge the consignor a detailing fee of$75. CONSGNER IS TO REPLACE
BATTERIES IF THEY ARE BAD OR SALES AGENT WILL REPLACE THEM AT THE COST OF THE
BATTERY PLUS A$45 SERVICE FEE.
EXHIBIT C
Personal Property-structures
• 97 W.Aikens Rd Eagle, Idaho-house (structure only) commonly referred to as
Grandma Jackson's House
Approximately 1,079 square feet(sq ft)
Approximately main floor 725 sq.ft,finished attic 348 sq ft, unfinished basement
529 sq ft Additional structures that have been deemed surplus by the Eagle City
Council, which the City requires auction services for during fiscal year 2025/2026.
The properties, if any, shall be identified in writing and mutually agreed upon by both
parties. Further Council action is not required beyond the declaration process as
identified in Idaho State Code.
Personal Property-miscellaneous items
• All other personnel property items, as identified by the City that have been declared
surplus in accordance with Resolution 23-18, during fiscal year 2025/2026.
