This MEMORANDUM OF AGREEMENT FOR SHARING THE COST OF THE JACKSON
HOUSE ADAPTIVE REUSE STUDY ("Agreement") is made this day o, 2025 ("Effective
Date"), by and between the City of Eagle, a municipal corporation organized under the laws of the State of
Idaho ("City"), and the Eagle Urban Renewal Agency, an urban renewal agency organized under the laws of the
State of Idaho ("EURA").
WHEREAS, the City has engaged a consultant to perform an adaptive reuse study of the city owned
Jackson House ("Study"), which is a well -recognized piece of downtown Eagle history, and has requested that
the EURA contribute toward a portion of the cost of the Study;
WHEREAS, the City and EURA understand and appreciate the value of the Jackson House to the Eagle
Community and that the home and surrounding site are in need of repair, redevelopment and stabilization with
the goal of making it available for appropriate use by members of the community and/or the public,
WHERERAS, the redevelopment and reuse of the house and site will benefit the public and the
downtown area and the City and the EURA recognize the public benefit of the Study as the City makes
decisions on how best to use the home in the future; and
WHEREAS, the EURA is willing to contribute up to a maximum sum of ten thousand dollars
($10,000.00) to the City to help fund a portion of the Study, specifically Phase 3A Concept Development
("Phase 3A") as described in Exhibit A attached hereto and incorporated by reference herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged and agreed, and in consideration of the mutual promises and covenants herein contained,
the Parties agree as follows:
I. CITY'S RESPONSIBILITIES.
A. Study. The City will engage all consultants necessary to complete the Study for the Orville Jackson
House and corresponding site. The City is solely responsible for the Study and the payment of all costs
and fees associated with the Study and any and all consultants. The City agrees that the Study will be
based on a surveyed boundary and topographical map. The Study is anticipated to be completed in
August of 2025. A copy of the request and the Scope of Work for the Study is attached hereto as
Exhibit A and incorporated herein. The City will provide EURA with a copy of the Study and
corresponding documents upon completion of the Study.
B. Study Committee. The City will appoint a representative chosen by the EURA to serve on the Jackson
House Study Committee that will review the Study and make recommendations to the City Council.
C. Invoice EURA. Once the City has fully paid their Consultant(s) for the Study, including without
limitation Phase 3A of the Study, then the City shall send EURA an invoice for reimbursement of the
costs of Phase 3A in an amount not to exceed ten thousand dollars ($10,000.00).
II. EURA'S RESPONSIBILITIES.
A. Study Committee. The EURA will select a representative to serve on the Jackson House Study
Committee and advise the City of their selection within thirty days of the execution of this Agreement.

B. Reimbursement. Within thirty (30) days of receipt of each of City's invoice for the costs associated
with Phase 3A of the Study, EURA shall provide payment to City in the amount of such invoice, which
invoice shall not exceed ten thousand dollars ($10,000.00).
III. GENERAL TERMS.
A. Term. This Agreement begins immediately upon execution and shall remain in effect through
September 30, 2025 or completion of the Study and reimbursement being paid to the City in accordance
with this Agreement, whichever occurs first.
B. Notice. Notice required to be provided by either of the parties under this Agreement shall be in writing
and be deemed communicated when mailed by United States Mail, addressed as follows:

Either party may change its address for the purpose of this paragraph by giving formal notice of such
change to the other in the manner herein provided.
C. Entire agreement; modification. This Agreement embodies the entire agreement and understanding
between the parties pertaining to the subject matter of this Agreement, and supersedes all prior
agreements, understandings, negotiations, representations, and discussions, whether verbal or written, of
the parties pertaining to that subject matter. The Agreement may not be changed, amended, or
superseded unless by means of writing executed by both Parties hereto.
D. Termination. Either party may terminate this Agreement in whole, or in part, due to convenience,
nonappropriation, or when either or both parties agree that the continuation of the Study is not in the
parties' best interest, by providing thirty (30) days written notice. If EURA is the terminating party,
City shall be entitled to receive reimbursement for work performed on Phase 3A and applicable
payments made prior to termination in accordance with the terms of this MOA toward completion of
Phase 3 of the Study as of the date of termination.
E. Severability. If any part of this Agreement is held to be invalid or unenforceable, such holding will not
affect the validity or enforceability of any other part of this Agreement so long as the remainder of the
Agreement is reasonably capable of completion. The invalidity or unenforceability of any particular
provision of this Agreement shall not affect the other provisions, and this Agreement shall be construed
in all respects as if any invalid or unenforceable provision were omitted.
F. Applicable Law. The Agreement shall be governed by the laws of the State of Idaho and jurisdiction
for any disputes arising hereunder shall be in the Fourth Judicial District, Ada County, State of Idaho.

Scope of Work: Jackson House Adaptive Reuse Study
History: The Orville and Floy Jackson House was built in 1932 and drafted by the architects Tourtellotte and
Hummel. The structure is architecturally significant as a noteworthy example of a Tudor English cottage. The
house was added to the National Register of Historic Places on November 17, 1982, after a thematic survey of
Tourtellotte and Hummel designed properties. The survey was completed by Patricia Wright and Lisa Reitzes
for the Idaho State Historical Preservation Office. The house is beautifully built, with exterior brickwork, cedar
shingles, leaded glass, oak floors, hand-hewn ceiling beams, and hand wrought -iron banisters.
Purpose & Need:
In 2021, the City of Eagle purchased the Orville Jackson House. The structure needs significant repair and
stabilization. The City having completed a historic structure report in 2024, has identified needs to stabilize the
structure but has nut deter mined d king -terra use for the structure. Before prioritizing projects for restoration
and renovation the City needs to have a unified vision for the use of the structure.
The City wants to complete an adaptive reuse study for the house and property. The City would like to
conduct a review of the home and site to consider ideas for the long-term utilization of the home and public
access to the home and structure. The City will consider ideas ranging from strict preservation as a residence
to more of a visional preservation with a commercial/public use that would allow the structure to be used by a
larger portion of the community. The City has several potential interested partners — American Legion (wants
a veteran's memorial), adjacent commercial development (want to purchase part of the site for development),
and the Eagle Urban Renewal (looking at a portion of the site for public parking). The City is looking for firm
that can bring together historic preservation planning, architecture, and landscape architecture firm that can
complete the study and guide a public engagement process.
