Personal Services Contract
Letter of Agreement
Parities:
The City of Eagle at 660 E. Civic Lane — PO Box 1520 — Eagle, Idaho 83616
and
Tim Farrell of Mountain Waterworks - PO Box 9906 - Boise, Idaho 83707
Agreement:
The City of Eagle believes that Tim Farrell has the necessary qualifications, skills and experience
to provide services as a professional intervenor to protest the sale of Eagle Water Company by Suez
Water on the City of Eagle's behalf.
Services:
Tim Farrell hereby agrees to engage with the City of Eagle to provide services consisting of
professional intervenor to protest the sale of Eagle Watcr Company by Suez Watcr on the City of Eagle's
behalf.
Compensation:
The Contractor will be paid for services rendered as stipulated by this agreement at the hourly
rate of $165.00 per hour not to exceed 20 hours. The Contractor will also be compensated
materials costs. The contractor must provide a detailed statement of services provided to the
City.
Term:
This agreement will remain in force until compensation stipulations are exhausted. This
agreement may be extended by motion of the Eagle City Council. This agreement may be
terminated by either party by providing at least a 30 day notice to the other party.
Expenses:
Ownership and Intellectual Property:
All materials produced for the City by the Contractor will become the property of the City.
Independent Contractor:

This contract and agreement for personal services between the City and Contractor identifies the
Contractor as an independent contractor and not an employee of the City of Eagle.

All notices, demands, amendments and communication must be done in writing to the following

Entire Agreement:
This written agreement constitutes the entire agreement.
