Service Solicited - 2024 - Personnel Plus - Direct Placement AgreementPERSONNEL YetToTA L STAFFING SOLUTION PLUS DIRECT PLACEMENT AGREEMENT A. INTRODUCTION q y This Direct Placement Agreement ("Agreement") is made this / [" V /a and between Personnel Plus, Inc a Idaho Corporation ("Personnel Plus, Inc"), and the City of Eagle ("client"). Personnel Plus, Inc is in the business if identifying and assisting in the recruitment of candidates with certain skill sets and abilities and client desires to engage Personnel Plus, Inc from time -to -time to conduct assignments to identify candidates in accordance with the terms of this agreement. 1. Personne Plus, Inc Obligations Personnel Plus, Inc will commence a diligent search for qualified candidates for the designated job openings. Prior to referring any candidate to the Client, Personnel Plus, Inc will use its best efforts to ensure that the candidate meets the Client's selection criteria and performance related -related standards through a careful screening of the candidate's professional background and interest related to the opening. Within that screening process, and prior to presenting a candidate to the Client for consideration, Personnel Plus, Inc is expected to: (1.) ensure that the candidate has a basic understanding of the position, (2.) confirm the candidate has the basic qualifications for the position, (3.) personally interview each candidate presented, and (4.) provide written documentation of the candidate's qualifications (i.e. resume). Upon concluding the screening process Personnel Plus, Inc will refer candidates to the Client for consideration and inform the candidates accordingly. 2. A candidate shall be considered as referred for direct placement, when a copy of candidate's resume is sent to the Client by Personnel Plus, Inc. A candidate who has been referred to Client in connection with a specific search may nevertheless at the Client's direction be considered for other career opportunities with the Client. 3. A representative of the Client will extend al offers to the candidates and will communicate this offer to Personnel Plus, Inc via email, or direct communication via email to Personnel Plus, Inc authorizing Personnel Plus, Inc to extend the offer on behalf of the City of Eagle to the candidate. B. FEES and Expenses & Guarantees 1. For Referral of Direct Placement Candidates hired by Client, (hereinafter referred to as "employee(s), Client agrees to pay Personnel Plus, Inc a placement fee of $5K. (well below the industry average) This fee is based on a starting salary of $52K, plus, if a position starts at less than $52. Please contact P 2. A typical Direct Placement or Recruitment Fees are as an industry, are as follows, fees are a percentage of the annual salary of the position that is being recruited these percentages range from 15% to 25% of the annual salary of the position. 3. For example, a $52,000.00 annual salary at 15% the fee would be $7,800.00, at 20% the fee would be $10,400.00 and lastly at 25% the fee would be $13,000.00 These fees would guarantee a placement on an industry average of between 30-60 days. 4. Personnel Plus, Inc will guarantee and should the (employee) direct hire resign or be dismissed (for reasons other than reduction in workforce, reorganization, or layoff) within a 45-day period, Personnel Plus, Inc would replace the candidate at no additional charge and the 45 day guarantee would start from the 15t day of the new direct hire. Once the 45-day period has passed, the guarantee would no longer apply. If the City at any point chooses to end the direct placement before the 45-day guarantee, then Personnel Plus, Inc would refund on a pro -rated basis the unused portion of the 45-day balance. 5. The FEE shall cover all fees and expenses incurred by Personnel Plus, Inc in a conduct of the search, including, but not limited to, professional fees, research expenses, recruitment expenses, professional background and criminal search expenses, drug screening expenses, and communication costs. 6. Prior to the Employee's start date with Client, Personnel Plus, Inc and Client will execute a Direct Placement Exihbit A ("Exhibit A'), which will state the Employee name, salary, fee, and start date. 7. Resumes submitted to Client are confidential and for Client use only. Client agrees that Personnel Plus, Inc is the exclusive representative of all candidates referred to Client by Personnel Plus, Inc in response to Client requests. Accordingly, Client agrees that if any referral is engaged to perform services, either directly or indirectly, by Client within (12) months of such referral, Client agrees to pay Personnel Plus, Inc an amount equal to the FEE listed above. 8. Personnel Plus, Inc shall invoice the fee to the Client. Payment in full due to Personnel Plus, Inc NET 15 days from invoice date, at Personnel Plus, Inc 5900 Overland Rd, Boise, Idaho 83709 C. Confidentiality 1. Personnel Plus, Inc agrees to accept in confidence all materials and information disclosed by Client and to use these materials and information only as shall be necessary in performing the services described in this agreement and for no other purpose. Personnel Plus, Inc shall not disclose any such material to any other third party without Client's prior written consent. D. Limitations of Liability 1. The Client accepts responsibility for payment of any and all employment related wages, taxes and any other costs, or risks normally associated with its employment work force. Personnel Plus, Inc shall not be liable for any claims, costs, expenses, damages, obligations or losses arising from or in connection with the acts or omission of any Employee. Client shall indemnify Personnel Plus, Inc and hold harmless against and from any such claims made or brought by third parties. E. Equal Opportunity Employer 1. Personnel Plus, Inc agrees that it will conduct its business in conformity with the Equal Opportunity Commissions guidelines and will not discriminate in referring candidates to Client. D. TERM 1. THIS AGREEMENT will be in effect for twelve (12) months, starting from date of execution. E. Miscellaneous 1. This Agreement does not grant Personnel Plus, Inc. any right to Client (or its affiliates) to trademarks, or other proprietary material. Without the prior written consent of Client. Personnel Plus, Inc will not use the name, trademarks, logos or other proprietary material of Client in any advertising or publicity release. 2. This agreement together with each Exhibit A executed and delivered in accordance with the terms of this Agreement, shall constitute the entire understanding of the parties hereto and shall not be modified or amended except by written agreement duly executed by both parties hereto. Personnel Plus, Inc. is in the business of identifying and assisting in the recruitment of candidates with certain skill sets and abilities and to identify candidates for potential employment to referred, "client". CONFIDENTIALITY OF REFERRALS: All candidate referrals made by RECRUITING FIRM are made on a confidential basis to Personnel Plus, Inc's CLIENT. It is understood that recruiting firm make no guarantees of job placement to referred candidate. It is understood that client will or will not make an offer of employment and that referred candidate if hired, is solely the employee of client and not that of Personnel Plus, Inc. RECRUITING FIRM does not guarantee the performance of any candidate or the accuracy of information provided regarding a candidate, and disclaims any responsibility for claim, loss, or liability as a result of a candidate's acts or omissions. Referred candidate agrees to indemnify Personnel Plus, Inc, its affiliates, and shall not be liable for any claims, costs, expenses, damages, obligations, or losses arising from or in connection to any acts or omissions by referred candidate. Referred candidate further agrees to indemnify Personnel Plus, Inc and its clients and affiliates for any claims and disputes brought by referred candidate.
