Membership Agreement
Agreement Information
This is an agreement between SMJ Consulting and City of Eagle, Idaho hereafter referred to as "Member".
Member agrees to pay the annual fees based on full and part time employees according the fee schedule
or agreed upon fees listed above. Fees are subject to annual review. This annual agreement will begin on
the effective date with a renewal date yearly. The Member's annual fees cover a 12 month period of
participation. The Member's participation may be renewed for the next participation year upon Member
provision of written notice. Either party may cancel the agreement with at least 30 days written notice.
The annual fees may increase based on the consumer price index, with a minimum of 2% and capped at
6%. If the Member is under an agreed payment installment plan (quarterly or monthly) and a payment is
not made in a timely fashion, SMJ Consulting has the right to collect the remaining portion of the fees on
the agreement. Any outstanding account balance after 60 days will be charged at an interest rate of 12%
per annum, and is subject to cancellation. Cancellation does not relieve the Member of the requirement to
pay the balance owing under the agreement. SMJ Consulting does not act as the Member's attorney and
does not offer legal advice; therefore, an attorney client relationship does not exist. In the event that a
claim is made against the Member by a third party, the Member agrees to hold SMJ Consulting harmless
from any and all of said claims.
Member understands this relationship will entitle it to receive various materials and/or products.
Member understand these materials/products are the confidential and proprietary work of SMJ
Consulting and may not be reproduced without the express written permission of SMJ Consulting and
they may not be used for profit in any way. Furthermore, Member understand that if any employe of
Member engages in any consulting activities or other activities that create a conflict of interest with the
services provided under this agreement, this relationship may be terminated by SMJ Consulting.
This Agreement shall be governed by, interpreted under, and construed and enforced in accordance with
the laws of the State of Idaho without giving effect to any choice or conflict of law provision or rule that
would cause the application of the laws of any jurisdiction other than the State of Idaho. Any action or
proceeding concerning this Agreement shall be commenced in the appropriate state or federal court in
Ada County, Idaho and the parties irrevocably consent to personal jurisdiction and venue in this court.
The parties agree that if any party successfully resorts to legal action to enforce its rights under this
Agreement, the losing party shall be liable for reasonable attorneys' fees incurred by the
other party.
Statutory Certification: In accordance with Idaho Code Section 67-2359 SMJ Consulting hereby certifies that it
is not owned or operated by the Government of China, as defined in said code section, and that during the
Term of this Agreement it will not be owned or operated by the Government of China.
