Service Solicited - 2024 - TRS Range Services LLC - Second AddendumSECOND ADDENDUM
This Second Addendum is entered into this2.' day of July, 2024 by and between City of
Eagle, an Idaho municipal corporation ("City"), and TRS Range Services LLC, an Idaho limited
liability company ("Contractor"). The City and Contractor are sometimes collectively referred to
herein as "Parties."
RECITALS
WHEREAS the Parties entered into a contract titled Professional Services Agreement
Shooting Sports Park Construction (the "Contract") which was executed on March 15, 2023.
WHEREAS the Contract contains a fixed Price total of $500,000 to be paid only for Phase
1 and Phase 2 work identified in Exhibit A of the Contract;
WHEREAS the Contract provides that charges for additional work must be approved by
the Eagle City Council through mutual execution of an Addendum to the Contract setting forth the
additional work, price and other terms agreed upon by the parties;
WHEREAS during road construction for Phase 1 and Phase 2, four soft spots
approximately 10 feet x twenty feet were discovered requiring additional work that was not
contemplated by the parties under the Contract;
WHEREAS the Parties desire to execute this Second Addendum to compensate Contractor
for the for the additional work related to repairing and/or improving the roadway where the soft
spot is located;
AGREEMENT
NOW THEREFORE, and in consideration of the mutual promises contained herein, the
Parties agree to the following:
1. Incorporation of Recitals: The above Recitals are a material part of this Second
Addendum and are incorporated into this Second Addendum by reference as though they were
fully set forth herein.
2. Additional Work: Contractor will perform work including digging out two feet
to three feet of dirt and replace the dirt with native soil and compact in order to repair the soft spots
in the roadway (the "Additional Work").
3. Charge for Additional Work: City will pay Contractor $15,102.00 for
performing the Additional Work.
4. Completion: Contractor will complete the Additional Work on or before July 29,
2024.

5. Headings: The headings on the paragraphs of this Second Addendum are for
convenience only and are not intended to define, modify limit or construe the meaning of the
paragraph or of the Second Amendment.
6. No Other Changes: Unless specifically modified herein, all the terms and
conditions contained in the Contract shall remain in full force and effect.
7. Approval: The Contractor and City each acknowledge that this Second
Addendum, even though agreed upon by the City's representatives, is not binding upon the City
until such time as the Eagle City Council approves and authorizes the Mayor to execute this Second
Addendum on behalf of the City.
