This MEMORANDUM OF AGREEMENT FO COOPERATION AND COST
SHARING ("Agreement") is made this 2,3day of , 2024 ("Effective Date"), by and
between the City of Eagle, a municipal corporation organ' ed under the laws of the State of
Idaho ("City"), and the Eagle Urban Renewal District, an urban renewal agency organized under
the laws of the State of Idaho ("EURA").
WHEREAS, the EURA and the City previously cooperated regarding the funding of the
certain roadway improvements;
WHEREAS, the EURA and City desire to cooperate and work together regarding the
acquisition of necessary right of way and the construction of the extension of Olde Park Place from
the dead-end intersection of Aiken St. and Olde Park Place to the signalized intersection of Plaza
Drive and Eagle Road ("Project") which is generally depicted in Exhibit A attached hereto and
incorporated herein;
WHEREAS, EURA and the City would both benefit from the acquisition of the necessary
right of way then construction of the above -described extension of Olde Park Place ("Project");
WHEREAS, construction of infrastructure such as street improvements within the
EURA boundaries conforms with the goals and objectives of the EURA and its revitalization
plan;
WHEREAS, the total estimated cost of the necessary right of way acquisition and
construction of the Olde Park Place extension from the dead-end intersection of Aiken St. and
Olde Park Place to the signalized intersection of Plaza Drive and Eagle Road is one million nine
hundred thousand dollars ($1,900,000.00) with estimated completion in FY 2024-2025;
WHEREAS, the EURA cannot commit funds at this time as additional funding in next
fiscal year's budget would be required to fully fund EURA's share of the Project;
WHEREAS, the EURA, in its normal budgeting process for FY 2024-2025, is willing to
consider but does not commit to sharing the Project cost equally (50-50) with the City where the
amount to be contributed by the EURA will not exceed nine hundred fifty thousand dollars
($950,000.00);
WHEREAS, the EURA's commitments and obligations in this agreement only become
effective if, when and upon the EURA approving the $950,000.00 Project cost share with the
City in the EURA FY 2024-2025 budget following the applicable public hearing.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged and agreed, and in consideration of the mutual promises and
covenants herein contained, the Parties agree as follows:
I. CITY'S RESPONSIBILITIES.
A. Procurement and Contract Management. Project is part of a larger ACHD project and
therefore, ACHD's contractors will be used for the construction of the Project. The City
will acquire the necessary additional right of way at its sole expense. The City engineer
will work on the necessary construction drawings and costs associated with those plans
and drawings are not subject to reimbursement by EURA. The City will work through its
engineer with ACHD on a competitive bid and award selection process for all
construction. City staff will be the primary contact for ACHD during construction, but
EURA may participate in any meetings regarding the project with the City and/or ACHD.
The City will submit a request for reimbursement with supporting documentation
showing the work has been completed and accepted to the EURA for its share of the
actual construction costs for the Project upon the City's payment of invoices to ACHD.
The total amount of all reimbursements by the EURA to the City shall not exceed nine
hundred fifty thousand dollars ($950,000.00). City will share any contract documents,
designs, renderings, reports, requests, communications, change orders and other
information with the EURA Executive Director as they are provided to the City.
II. EURA's RESPONSIBILITIES.
EURA's obligations and commitments herein are contingent and subject to the EURA
approving their FY 2024-2025 budget which includes the $950,000.00 Project funds
noted herein. Said budget decision lies within the sole discretion of the EURA.
A. Reimbursement Payment. Within forty-five (45) days of receipt of the City's request
for reimbursement including the necessary supporting documentation, EURA shall
provide payment to City in the amount noted on the invoice which shall not exceed a total
cumulative amount of nine hundred fifty thousand dollars ($950,000.00).
B. Appropriation. Notwithstanding anything in this Agreement to the contrary, EURA's
obligations under this Agreement to provide payment to City as described herein shall be
subject to and dependent upon appropriations being made by the EURA Board for such
purpose.
III. GENERAL TERMS.
A. Term. This Agreement begins upon execution by the parties and shall remain in effect
through September 30, 2025 or until construction of the Project involving the extension
of Old Park Place is competed and the EURA pays its share of the costs as described
herein, whichever occurs first. The Parties agree that the term of this agreement may be
extended if needed to complete the construction of said improvements and corresponding
reimbursement.

B. Notice. Notice required to be provided by either of the parties under this Agreement
shall be in writing and be deemed communicated when mailed by United States Mail,
addressed as follows:

Either party may change its address for the purpose of this paragraph by giving formal
notice of such change to the other in the manner herein provided.
C. Entire agreement; modification. This Agreement embodies the entire agreement and
understanding between the parties pertaining to the subject matter of this Agreement, and
supersedes all prior agreements, understandings, negotiations, representations, and
discussions, whether verbal or written, of the parties pertaining to that subject matter. The
recitals first noted above are incorporated into this agreement as if set forth fully herein.
The Agreement may only be modified or amended by mutual written agreement of the
Parties hereto. The Parties acknowledge that the bids may come in higher than the
estimated cost. If that is the case the Parties agree to review the bids and negotiate in
good faith regarding a potential amendment to this Agreement.
D. Termination. Either party may terminate this Agreement without cause and for any or
no reason prior to the selection of the Contractor who will complete the construction
work described herein by providing thirty (30) days written notice to the other Party.
Following selection of the contractor to perform the work then this Agreement may only
be terminated by the Parties for default or violation of the terms and conditions contained
in this Agreement. Prior to terminating this Agreement for default, the non -defaulting
Party shall provide the defaulting Party thirty days' notice of its intent to terminate the
Agreement. If the defaulting Party cures the default with those thirty days, then the
Agreement will not be terminated for said cured default.
E. Hold harmless. For purposes of or in furtherance of this Agreement, each party and
each of its employees, agents, contractors, officials, officers, servants, guests, and/or
invitees, shall save and hold harmless the other party from and for any and all losses,
claims, actions, judgments for damages, or injury to persons or property and losses and
expenses caused or incurred by either party or any employee, agent, contractor, official,
officer, servant, guest, and/or invitee thereof.
F. Severability. If any part of this Agreement is held to be invalid or unenforceable, such
holding will not affect the validity or enforceability of any other part of this Agreement
so long as the remainder of the Agreement is reasonably capable of completion. The
invalidity or unenforceability of any particular provision of this Agreement shall not
affect the other provisions, and this Agreement shall be construed in all respects as if any

invalid or unenforceable provision were omitted.
G. Applicable Law. The Agreement shall be governed by the laws of the State of Idaho and
jurisdiction for any disputes arising hereunder shall be in the Fourth Judicial District, Ada
County, State of Idaho.

City Request:
The City of Eagle is requesting the Egle Urban Renewal Agency enter into a cost share agreement for a
50/50 split of the land acquisition and construction costs for the Olde Park Place Extension in FY 2025.
The 50% cost share is estimated at $850,000, without a funding participation agreement this project may
not be constructed and could be shelved until additional funding is available.
Background:
The Olde Park Place Extension has been in development by the City since the Downtown Sub-area Plan
in 2011. The Olde Park Place extension is a local collector road starting at the dead-end intersection of
Aiken Street and Olde Park, extending south to the signalized intersection of Plaza Drive and Eagle Road
Blueline below). This project is being as the SE section of the quadrant road for the State & Eagle
intersection.
In 2021, The City acquired the property for the extension in the amount of $1M, this purchase equals 95%
95% of the ROW needed for the extension. With the completion of the initial property acquisition, the
City of Eagle requested ACHD include the Olde Park Place extension in the plans for the Downtown
Eagle Mobility Improvements. The City’s proposal was to vacate Aikens Street west of Eagle Road and
construct the Olde Park Place extension instead. ACHD declined but supported the City developing a
construction plan set, acquiring right of way and paying for the roadway as a part of the Phase 2
improvements of the Downtown Eagle Mobility Improvements. Basically, ACHD would serve as bid and
construction management services and accept ROW dedication at the completion of the project. Like the
Palmetto Street Extension, this project was to be a local project dedicated to ACHD but, is not eligible for
ACHD funding.
As a city with no roadway authority or department there have been challenges for the City working with
and coordinating with ACHD to ensure we meet their requirements and standards that have slowed the
project.

The City estimates expending over $1,100,000 by end of FY24 in ROW acquisition and
design/engineering costs to get the project through 99% engineering design and the initial ROW purchase.
The City is not requesting to share a cost agreement for these costs.
Current Status:
After many delays and requests for clarifications from ACHD, the ACHD Commission approved the
roadway cross sections, the ROW width, and ped/bike improvements on September 6, 2023.
The City staff through the Capital Plan has worked with the City engineer and ACHD to develop a
construction plan set for the road. In May, the City received approval and comments on the 75% plan set
and is moving forward to the 99% plan set for integration into ACHD’s bid documents.
On May 29, 2024, staff received an update from ACHD on the project timeline for the DT Mobility
improvements, requiring City plans sets and ROW acquisition to be completed by end of June 2024 for
bid in August/September of 2024. This gave the City 30-days to complete 99% engineering plans and
complete ROW acquisition.
On May 30, 2024, with the receipt of ACHD’s approval of the 75% plan set, the City received the first
engineer estimate for the project. The City was aware that the set aside within the Capital Plan was an ear
mark, but it would not be sufficient for the project, but the engineer’s estimate was over double the set
aside at $1.29M, before ROW acquisition. ROW acquisition (approximately .4 acres) is estimated at an
additional $600K bringing the entire project to approximately $1.9M.
On June 3, 2024, the City (Mayor, Councilwoman May, and staff) met with the Eagle URA, and adjacent
property owners to talk about options to expedite the ROW acquisition. Private landowners offered to
help the City seek an expedited appraisal for property acquisition.
On June 10th, Mayor Pike, Councilwoman May, city staff, and the Eagle URA met with ACHD Director
Head, Commissioner Gold and ACHD staff to discuss options to provide additional time for the City to
complete final engineering, ROW, and finalize funding through the budgeting/appropriation process.
Time is of the essence; this project must be ready for bid in September of 2024 (99% design & ROW
completed) or ACHD not will include the project in Phase 2 of the DT Mobility Improvements. ACHD
will not delay Phase 2 due to the receipt of ITD grant money that will be lost if delayed.

The following is the negotiated path forward:
• Timeline for 99% Plan Submittal was extended to September 2024.
o City Engineer has committed to having the 99% plan set completed by end of
June/beginning of July.
o The City is not seeking EURA funding for this work.
• ROW Appraisal and Acquisition to be completed by the beginning of September 2024.
o The City is working to complete appraisals for aquation within the next 30-45 days.
o City Staff will be working with property owners on completion of the ROW negotiations
and, if needed, right of entry documents to satisfy ACHD’s requirements to integrate the
plans into Phase 2 of the DT Mobility Improvements.
o The City could utilize existing funds for the acquisition of ROW but will not do so
without knowing that this project will be constructed in FY25. Once the acquisition is
completed the City will rely on FY 25 appropriations to fund construction.
• Cost Share Requests to EURA, June 18, 2024 – TODAY
o The City is formally requesting the EURA for a 50% cost share for the project
construction and ROW acquisition in the amount of $950,000 per entity.
The City is aware that the timing of the EURA’s budget does not allow for an instant approval of a
participation agreement, but the City is seeking endorsement from the EURA Board for this project and
commitment to include this project in the drafting of the FY 25 budget.
