Membership Agreement
Agreement Information
This is an agreement between AmeriBen and City of Eagle (client). Client agrees to pay the annual
fees based on full and part time employees. Fees are subject to annual review. This annual agreement will
begin on . The Client's annual fees cover a 12
month period of participation. This agreement may be renewed with mutual written agreement between both
parties.The agreement may be terminated with 30-days written notice by either partied . Any outstanding
account balance after 60 days will be charged at an interest rate of 12% per annum, and is subject to
cancellation. Cancellation does not relieve the Client of the requirement to pay the balance owing under the
agreement. AmeriBen does not act as the Client's attorney and does not offer legal advice; therefore, an
attorney client relationship does not exist. In the event that a claim is made against the Client by a third party,
the Client agrees to hold AmeriBen harmless from any and all of said claim.
I understand this relationship will entitle me to receive various materials and/or products. I understand these
materials/products are the confidential and proprietary work of AmeriBen and may not be reproduced without
the express written permission of AmeriBen nor may they be used for profit in any way. Furthermore, I
understand that if I or any of our employees engage in any consulting activities or other activities that create a
conflict of interest, this relationship may be terminated by AmeriBen.
Any controversy of claim (except those subject to the jurisdictional limits of small claims court) arising out of or
relating to this relationship shall be settled by binding arbitration in accordance with the Commercial Arbitration
Rules of the American Arbitration Association; judgment upon the award rendered by the arbitrator(s) may be
entered into any court having jurisdiction thereof. Either party may petition a court of competent jurisdiction for
any appropriate provisional remedy without waiving the rights and obligations contained in this paragraph. Any
arbitration conducted in accordance with this provision shall take place in Boise, Idaho.
Statutory Certifications. In accordance with Idaho Code Section 67-2359 _AmeriBen hereby certifies that it is
not owned or operated by the Government of China, as defined in said code section, and that during the Term of
this Agreement it will not be owned or operated by the Government of China. In accordance with Idaho Code
Section 67-2346 AmeriBen hereby certifies that it is not currently engaged in, and during the Term of this
Agreement will not engage in, a boycott of goods and services from Israel or territories under its control as defined
in said code section.
