Special Meeting Minutes
December 14, 2018
1. CALL TO ORDER: Mayor Ridgeway calls the meeting to order at 9:05 a.m.
2. ROLL CALL: BASTIAN, GOLD, PITTMAN, MITCHELL. Gold is absent. A
quorum is present.
Mayor: I just got a text from Marinda Gold and she will be here in 3 minutes.
3. EXECUTIVE SESSION:
74-206. EXECUTIVE SESSIONS — (1) An executive session at which members of the
public are excluded may be held, but only for the purposes and only in the manner set
forth in this section. The motion to go into executive session shall identify the specific
subsections of this section that authorize the executive session. There shall be a roll call
vote on the motion and the vote shall be recorded in the minutes. An executive session
shall be authorized by a two-thirds (2/3) vote of the governing body. An executive session
may be held:
ACTION ITEM: (f) To communicate with legal counsel for the public agency to
discuss the legal ramifications of and legal options for pending litigation, or
controversies not yet being litigated but imminently likely to be litigated. The
mere presence of legal counsel at an executive session does not satisfy this
requirement; IMC mediation.
Pittman moves to go into Executive Session pursuant to I.C. 74-206(1)(f) for the
IMC Mediation. Seconded by Mitchell. Bastian: AYE; Pittman: AYE; Mitchell:
AYE: ALL AYES: MOTION CARRIES
Council goes into Executive Session at 9:05 a.m.
Gold joins the meeting at 9:10 a.m.
Council discusses IMC mediation.
Council leaves Executive Session at 12:10 p.m.
4. ACTION ITEM - Presentation by Tim Farrell of Mountain Waterworks
regarding the proposed purchase of Eagle Water Company by Suez Water. Mr.
Farrell is proposing that the City of Eagle hire him as an intervenor to protest the
sale on the City of Eagle's behalf.
Mayor introduces the issue.
Jim Farrell displays a power point presentation and provides the Council an overview of
the proposed purchase of Eagle Water Company by Suez Water.
I'm actually here as a concerned citizen not requesting that you hire me.

Jeff Haas, I encourage you to take action, so we don't lose out.
General Council discussion.
Bastian moves to direct our City Attorney to intervene. Mayor: Could I offer a
suggested modification? That we direct our City Attorney to file on behalf of the
City an intervention on the possible sale of Eagle Water to Suez and appoint a
committee of one other Councilmember to work with the Mayor to evaluate possible
consultants to help with the intervention and bring that back to the Council at our
next meeting. Bastian: I so move. Seconded by Pittman. ALL AYES: MOTION
CARRIES
Bastian moves to go into Executive Session to continue the IMC mediation.
Seconded by Pittman. Bastian: AYE; Gold: AYE; Pittman: AYE; Mitchell: AYE:
ALL AYES: MOTION CARRIES
Council goes into Executive Session at 1:00 p.m.
Council discusses IMC mediation.
Council leaves Executive Session at 2:20 p.m.
Gold moves that we sign the Mediation Memorandum as presented. Seconded by
Pittman. ALL AYES: MOTION CARRIES
5. ADJOURNMENT:
Bastian moves to adjourn. Seconded by Gold. Mayor: are there any objections to
adjournment? Seeing none we are adjourned.
Hearing no further business, the Council meeting adjourned at 2:20 p.m.
