THIS SECOND ADDENDUM TO COST SHARE AGREEMENT FOR REPAIR OF N.
CHANNEL CENTER TRAIL is entered into as of the_day of April,2023,by and between the
CITY OF EAGLE, an Idaho municipal corporation ("City")and B.B. One LC, and Idaho limited
liability company("Owner"). City and Owner are sometimes collectively referred to as"Parties."
RECITALS
WHEREAS, City is constructing the Eagle Road Ped/Bike Bridge along Eagle Road.
WHEREAS, as part of the project design for the Eagle Road PedBike Bridge, the City
assumed responsibility for the N. Channel Center Trail that runs from the Eagle Road Bridge
westward along the north channel of the Boise River in the North Channel Center development
owned by Owner.
WHEREAS high flows within the Boise River and human foot traffic have resulted in bank
erosion along the N. Channel Center Trail which presents a great risk to the public trail system and
risk to Owner's North Channel Center.
WHEREAS the Parties desire to reduce the likelihood of future bank erosion in that area
of the N. Channel Center Trail by designing, engineering and constructing/stabilizing repairs to
said area.
WHEREAS, the Parties entered into that certain Cost Share Agreement For Repair Of N.
Channel Center Trail on April 13, 2022 and a First Addendum To Cost Share Agreement For
Repair Of N Channel Center Trail on March 14, 2023, and Amendment To First Addendum To
Cost Share Agreement For Repair ON. Channel Center Trail on April-, 2023 (collectively the
"Cost Share Agreement") whereby the Parties agreed to share in all costs associated with the
engineering, design, permitting, and construction related to the repair of the N. Channel Center
Trail area with each Party paying 50%of the total cost.
WHEREAS, City holds a greenbelt easement for a 600-ft section of the Boise River
Greenbelt on the southwest side of the North Channel Center Development.
WHEREAS,it has been determined that the most feasible bank stabilization occurs through
the pinning of the bank restoration and stabilization under the City's 600-ft section of the Boise
River Greenbelt.
WHEREAS,the bank stabilization repairs required the removal of the 600-ft section of the
Boise River Greenbelt trail section.
SECOND ADDENDUM TO COST SHARE AGREEMENT FOR REPAIR OF N.CHANNEL

WHEREAS the re-construction of the 600-ft section of the Boise River Greenbelt trail
section is solely the financial responsibility of the City.
WHEREAS Owner will agree to initially pay to re-construct the 600-ft section of the Boise
River Greenbelt upon City agreeing to reimburse 100% Owner for all amounts paid.
NOW, THEREFORE, based upon the mutual consideration,the receipt and sufficiency of
which is hereby acknowledged,the Parties agree to the following addition(s):
1. Re-Construction Scone of Services: A new Exhibit C is added and incorporated into the
Cost Share Agreement, setting forth the additional scope of work and cost associated with the re-
construction of the of 600-ft section of the Boise River Greenbelt trail section.City shall reimburse
Owner an amount not to exceed$58,740.00.
