THIS FIRST ADDENDUM TO COST SHARE AGREEMENT FOR REPAIR OF N.
CHANNEL CENTER TRAIL is entered into as of theI4 day of aAprii, 2023,by and between the
CITY OF EAGLE, an Idaho municipal corporation("City") and B.B. One LC, and Idaho limited
liability company("Owner"). City and Owner are sometimes collectively referred to as "Parties."
RECITALS
WHEREAS, City is constructing the Eagle Road PedBike Bridge along Eagle Road.
WHEREAS, as part of the project design for the Eagle Road PedBike Bridge, the City
assumed responsibility for the N. Channel Center Trail that runs from the Eagle Road Bridge
westward along the north channel of the Boise River in the North Channel Center development
owned by Owner.
WHEREAS high flows within the Boise River and human foot traffic have resulted in bank
erosion along the N. Channel Center Trail which presents a great risk to the public trail system and
risk to Owner's North Channel Center.
WHEREAS the Parties desire to reduce the likelihood of future bank erosion in that area
of the N. Channel Center Trail by designing, engineering and constructing/stabilizing repairs to
said area.
WHEREAS, the Parties entered into that certain Cost Share Agreement For Repair ON.
Channel Center Trail on April 13,2022 (the"Cost Share Agreement")whereby the Parties agreed
to share in all costs associated with the engineering, design, permitting, and construction related
to the repair of the N. Channel Center Trail area.
WHEREAS, City holds a greenbelt easement for a 600-ft section of the Boise River
Greenbelt on the southwest side of the North Channel Center Development that City intends to
repair.
WHEREAS,it has been determined that the most feasible bank stabilization occurs through
the pinning of the bank restoration and stabilization under the City's 600-ft section of the Boise
River Greenbelt.
WHEREAS, Owner desires to construct the bank stabilization at a 50%cost to the City in
exchange of the floodway protection the stabilization will offer to the Owner's property.

NOW, THEREFORE,based upon the mutual consideration,the receipt and sufficiency of
which is hereby acknowledged,the Parties agree to the following addition(s):
1. Addition to Scope of Services: A new Exhibit B is added and incorporated into the Cost
Share Agreement, setting forth the scope of work and cost associated with said work

Dear Mr.Baker,
BB One has requested that HDR Engineering, Inc.amend the existing task order to continue providing
technical assistance on the Boise River North Channel Bank Stabilization (Task Order 1).This amendment
increases the not to exceed amount of the existing contract to assist you with upcoming tasks:
• Coordination before,during,and after construction with the contractor,City of Eagle, USACE,and
IDWR as requested
• Responding to contractor requests for information
• Completing memo documenting project completion
HDR's work will not include construction oversight or inspection.
We propose the existing not to exceed amount of this contract be increased from$20,000 to$30,000(an
increase of$10,000,roughly 50 to 60 hours of engineering time plus accounting support and
administration). In the case that the total fee approaches the not-to-exceed amount, I will inform you to
discuss if an additional increase of the Task Order not-to-exceed amount is needed.

TASK ORDER
This Task Order pertains to an Agreement by and between B.B. One LLC ("OWNER"),
and HDR Engineering, Inc. ("ENGINEER"), dated February 23, 2022, ("the
Agreement"). Engineer shall perform services on the project described below as
provided herein and in the Agreement. This Task Order shall not be binding until it has
been properly signed by both parties. Upon execution, this Task Order shall supplement
