TERMS OF SALE
GEM STATE STAFFING terms of sale are as follows: Payments for all invoices are due within 30 days from receipt of invoice. Gem State Staffing
can automatically assess a 1.5% finance charge per month on all invoices past due over 30 days from date of invoice. All invoices not paid in a timely
manner may cause interruption of credit extension and could affect dispatch of workers to job site, unless prior arrangements have been made with GEM
STATE STAFFING. CUSTOMER agrees to pay any collection costs incurred to collect the account balance, including reasonable attomey's fees.
CUSTOMER authorizes GEM STATE STAFFING to verify or check any the credit references given, and obtain credit reports in connection with this
credit application. CUSTOMER gives creditors banking relationships permission to give GEM STATE STAFFING any information it needs to make a
credit granting decision. CUSTOMER gives permission to report to credit reporting agencies and others the results of such investigations. CUSTOMER
agrees that exclusive jurisdiction and venue shall be in the state or federal courts in Idaho.
The undersigned is authorized to sign this application, has read and understands this credit application and agrees to the terms and conditions.

1. GEM STATE STAFFING will pay its employees the wages and fringe benefits,
if any, prescribed by the CUSTOMER as established in this quote. GEM STATE STAFFING
assumes responsibility for the payment of such compensation, the withholdings, and payment of all required
Employer payroll taxes, and the payment and maintenance of Workers Compensation Insurance as required
by state law.
2. Should the CUSTOMER decide to hire a Gem State Staffing employee, CUSTOMER agrees not to hire
worker until a short trial period has passed utilizing GEM STATE STAFFING as the employer during the trial
period. (Trial Period = 480 hours)
3. CUSTOMER shall not entrust GEM STATE STAFFING employees with unattended premises or valuables
including but not limited to cash, securities, motor vehicles and tools, or keys, without first obtaining the
written consent of GEM STATE STAFFING, unless CUSTOMER assumes complete liability therefore.
4. CUSTOMER shall not employ or use GEM STATE STAFFING employees to operate machinery,
equipment, or vehicles not covered by CUSTOMER'S liability and property damage insurance. CUSTOMER
must specify prior to dispatch of workers, a need for "DRIVERS"or"EQUIPMENT OPERATORS': CUSTOMER
shall not utilize Gem State Staffing employees to operate equipment or drive motor vehicles without written
authorization from Gem State Staffing. Gem State Staffing will then provide proof of License and a DMV
check for each worker specifically authorized to operate a motor vehicle prior to dispatch of worker.
5. CUSTOMER shall not employ GEM STATE STAFFING employees to operate dangerous or unprotected
machinery or equipment without proper Personal Protective Equipment (PPE). Customer will ensure that
workers performing work using ladders or scaffolding are protected in accordance with OSHA standards.
Customer shall ensure proper shoring and protection is provided for workers performing excavation work.
6. CUSTOMER shall pay to GEM STATE STAFFING the total amount due upon receipt of GEM STATE
STAFFING invoice within Forty-five (45) days of invoice date unless prior arrangements have been agreed
upon in writing. CUSTOMER shall pay interest of 1 % per month (18 % annual rate) on account balances
more than forty-five (45) days past due. If an account is referred to an attorney for collection, to the extent
allowed by Idaho law, CUSTOMER shall indemnify and hold GEM STATE STAFFING harmless from any
liabilities, demands, or claims arising out of this contract except for liabilities, demands, or claims arising from
the negligence or willful misconduct of GEM STATE STAFFING.

RE: CONTRACT ADDENDUM BETWEEN GEM STATE STAFFING AND CITY OF EAGLE
Mr. Nash,
Please accept this authorization to waive paragraph 3 in our agreement with the City of Eagle. Paragraph
3 states:
CUSTOMER shall not entrust GEM STATE STAFFING employees with unattended
premises or valuables including but not limited to cash, securities, motor vehicles and
tools, or keys, without first obtaining the written consent of GEM STATE STAFFING,
unless CUSTOMER assumes complete liability therefore.
The intent of this waiver is to allow our temporary employees placed with your organization to work
unencumbered by cash and check restrictions related to paragraph 3 in our agreement.
