AGREEMENT AND GRANT OF EASEMENT
NOW, T IHEREF,'DRE, in consideration of the rnutuai covenants arid condlitions herein contained,
and, for other good and valuable consideration, the receiplt and sufficiency of which is hereby
ack L t() 4 t I M,nowledged by the Grantor, the parties hereto, 4 r themselves, their 11heirs-, successors and
assigns, agree as follows:
1. The above Recitals are. a material part of this Agreernentand are incorporated by reference
as though they were fully set forth herein.
2. Grantor, subject to the ter y'ns and condft'ohs nereinafter set forth, hereby grant and convey
unto the Gran'tee, its successors and assigns, a easement over, under and across that
portion of the Subject P rope rty descri bed in Enxhibit "A" and generally as shown on
FXhibit "'B" attached hereto, for 4[he purpose of permitting the Grantee to therein
construct, install, rnaintain., repair, replace, use: and operate an underground water line or
lines, and related facii ities '"Ease ment"').

its agents, employees, contractors, and assigns a temporary license to traverse. or occuply a
portion olf the Subject Property or Easernerit with vehicles and c-quipirnent for then purpose of
making improvements and excavations thereon and thereunder as may be reasonahely
necessary to construct, install, maintain, repair, replace, operate or use water lines and
related facifties iristal!eid or located ;re the Easement.
5, Grantee shall sine and hold 'Grantor h2rrniess from any an'd all liability for personal
in t�jury or, property dzimage resulting from, or I,-, any way connected with, any use or
activity wid-lertaken or perrrAtted by the Grai-ite-e, or any of its agents, emplo-vees!
contractors or assigns,

Grantee, the Grantee shall immeNdiately repair, restore and revegetate all dlistudbed

the reasonable saVsfadtion of the Grantor.
