2, Grantor, subject to the terms and conditions hereinafter set forth, hereby grant and ccrivey
unto the Grantee, its successors and assigns, an easement over, under and across that
portion of the Subiect Property described in Exhibit "A" a r d e n e ra i ly a s s h ow n o n
Exhibit "B' atta.ched hereto, for the purpose of permitting the Grantee to 4[heleirl
const'ruct, install, maintal,n, repair, replace., use, and opp ate air underground' water line Or
lines, and related facilifties("Easernent").
3. The Fasemnent shall be permanent and Perpetual, unless Grantee agrees ir w�irt-ing to its
termination, of it is otherv.Ase abandoned or vacated by the Grantee; provided, however,
that should any portlons of the Easement hereafter come, to be Iocated Lh iwi=irs, or become
a hart of, a Public night-of-way or a dedicated street or road, said Easili,,rnent shall be
deerned' to be of no force or effect °or so lonp, as said right-of-way rernafris a dedicated
Public street or road, during which tine Grant a'` rights shall be governed by applicable
law and/or alternative agreements between Grantee 2nd the goveIrm-rientad entity haviing
Jurisdiction over,said dedicated pub'fic street or road right-of way,

its agents, erriployees, contractors, and assigns a temporary license to traverse or occupy a
portion of the&ibject Property or,'Easernent with vehicles and equipryient fic-Ir the purpose of
rnaking Improvements and excavations thereon and! thereunder as may be reasonably
necessary to construct, instal;i.. rnaintain, repair; repiace, operate or use water lines and
related facilities instal!ed or ;ocated in the EasennerA.
5 Grantee 5Wi -save and Nord Grantor harmless from, any and all liability for personal
injury or propefty darnage resulting frorn, or in any way connected with, any use or
activity undertaken or per; ifted the Grantee, or any of ;ts agents, employees,
contractors or assigns.
6. Upon Comple-bor of ilts installation of water lines and related -facilities within the Easement,
:arid any subsequent construction or, maintenance activity Conducted therein by tint,
rare , the Grantee shall im-nediately repair, restore and, revegetate all disturbed
surface area-.- in a manner consistent with conditions existing prior to the disturbance, all to
the reasortabie satisfactIon of the Grantor.
This i-kgniernent, and 4he easement herein granted shall be appurtenant to, and run with
the title to the real property en.curnbered thereby, and shall obligate, and ilnur� to the
benefit of, the parties hereto and their respective successors and assi ns,
