HOUSEHOLD AND CONDITIONALLY EXEMPT SMALL QUANTITY GENERATOR
HAZARDOUS MATERIAL COLLECTION SERVICE AGREEMENT
THIS RENEWAL OF THE AGREEMENT is entered into this _ 3 i day of
, 2015, by and between the Board of Ada County Commissioners (hereinafter
"the Board"), the City of Boise (hereinafter "City"), and Burlington Environmental, LLC, a
Washington corporation (hereinafter "Contractor").
WITNESSETH
WHEREAS, a certain Agreement No. 8448 to provide operation and maintenance of the
Ada County Household and Conditionally Exempt Small Quantity Generator Hazardous Material
Collection Facility located at the Ada County Hidden Hollow Sanitary Landfill and Boise City's
Mobile Collection Program at twelve household hazardous material collection sites at locations
in Boise City was entered into between the parties, dated October 23, 2008;
WHEREAS, on December 8, 2009, Agreement No. 8448 was renewed through the
period ending September 20, 2010, through Agreement No. 8448-1-09;
WHEREAS, on October 5, 2010, Agreement No. 8448 was (i) renewed through the
period ending September 30, 2011, (ii) amended to change the Hold Harmless and
Indemnification provision in Section II Paragraph B, and (iii) amended to change Fee Item
number 19 in Appendix A to 19a and add a 19b, through Agreement No. 8448-2-10;
WHEREAS, on November 8, 2011, Agreement No. 8448 was (i) renewed through the
period ending September 30, 2012, (ii) amended to replace Appendix A in its entirety, and (iii)
amended to increase the annual base operating price to $224,874.12, through Agreement No.
8448-3-11;

WHEREAS, on October 30, 2012, Agreement No. 8448 was (i) renewed through the
period ending September 30, 2013, (ii) amended to replace Appendix A in its entirety, and (iii)
amended to increase the annual base operating price to $228,696.98, through Agreement No.
8448-4-12;
WHEREAS, on October 22, 2013, Agreement No. 8448 was (i) renewed through the
period ending September 30, 2014, (ii) amended to replace Appendix A in its entirety, and (iii)
amended to increase the annual base operating price to $232,973.61, through Agreement No.
8448-5-13;
WHEREAS, on October 21, 2014, Agreement No. 8448 was (i) renewed through the
period ending September 30, 2015, (ii) amended to replace Appendix A in its entirety, and (iii)
amended to increase the annual base operating price to $237,866.06, through Agreement No.
8448-6-14;
WHEREAS, said Agreement No. 8448 provides that the parties thereto, at their option,
may renew the Agreement annually for up to seven (7) one (1) year terms unless previously
terminated;
WHEREAS, said Agreement, as renewed and amended (hereinafter "Agreement No.
8448") remains in full force and effect; and
WHEREAS, it is now the desire of said parties to renew Agreement No. 8448 for an
additional one (1) year term.
NOW, THEREFORE, it is mutually agreed between the parties hereto;
I.
That Agreement No. 8448 shall be renewed for the period from October 1, 2015, to and
including September 30, 2016.

II.
That Agreement No. 8448 shall be amended pursuant to Section 111 of the Request for
Proposal to increase the Disposal Fee Schedule as attached hereto in Appendix A.
III.
That Agreement No. 8448 shall be amended pursuant to Section 111 of the Request for
Proposal to increase the base operating price to Two Hundred Thirty -Eight Thousand One
Hundred Three and 95/100 dollars ($238,103.95) per year or Nineteen Thousand Eight Hundred
Forty One and 99/100 dollars ($19,841.99) per month.
IV.
It is further agreed that, except as provided herein, each and every outstanding or
unfulfilled term and condition contained within that certain Agreement No. 8448 is incorporated
herein by reference as if fully set forth.
V.
The remaining terms and conditions contained within Agreement No. 8448 shall remain
unchanged, in full force and effect.
