THIS MEMORANDUM OF UNDERSTANDING, made this day. of September,2022, by
and between the Treasure Valley Clean Cities Coalition, hereinafter called"TVCCC"and the City
of Eagle, hereinafter called "Eagle" is entered into for the purpose of the TVCCC's partnership
with Eagle for the building of a pedestrian bridge to cross the Boise River at Eagle Road.
WHEREAS, TVCCC is a consortium of public agencies, organizations and individuals
participating in Clean Cities program within Department Of Energy's Vehicle Technologies Office
Program; and
WHEREAS, the mission of the Clean Cities program is to advance the nation's economic,
environmental and energy security by supporting local actions to cut petroleum use in
transportation; and
WHEREAS, Eagle is a participant in TVCCC; and
WHEREAS, Eagle desires to construct a pedestrian and bike bridge to increase the use of bicycles
and safe walking routes which will reduce the need for road vehicles and;
WHEREAS,the TVCCC would like to assist Eagle with costs associated with the construction of
the pedestrian and bike bridge that will increase safe, non-motorized access to downtown Eagle
and the greenbelt;
NOW THEREFORE, in consideration of the foregoing, the parties agree as follows:
1. The TVCCC agrees to provide $10,000 total to assist Eagle with the costs associated with
the construction of a new pedestrian and bike bridge that will cross the Boise River at Eagle
Road in the form of one payment of$5,000 for work completed in 2022 and one payment
of$5,000 for work completed in 2023.
2. The TVCCC agrees to reimburse Eagle for project expenses.
3. TVCCC will reimburse Eagle within 30 days of receipt of invoices.

5. Eagle agrees to submit invoices which clearly describe the materials purchased and/or the
labor performed to the TVCCC for payment or reimbursement.
6. Eagle will submit the invoices electronically to Randi Walkins rwalkins u,citvotboise.ors4

7. All TVCCC supported work is to be completed and invoices submitted to the TVCCC by
December 31, 2022 for the first payment of$5,000 and December 31, 2023 for the second
payment of$5,000.
8. Termination of this Memorandum of Understanding may occur at any time without cause
upon providing thirty (30) days written notice to the other party specifying the date of
termination. Cancellation of this Memorandum of Understanding by either party shall
tenninate the obligations or liabilities of the parties,except that the obligations or liabilities
incurred prior to the termination date shall be honored.
9. This agreement shall be binding upon all parties hereto and their respective administrators,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their
duly authorized officials, this agreement in two (2) copies, each of which shall be deemed an
original, on the date first above written.
