Governing Acoustics Consulting Services provided by 45dB Acoustics, LLC for the Shooting
Sports Park in Eagle,ID Project
Indemnification: 45dB Acoustics,LLC,a California Limited Liability Company(the"CONSULTANT"),shall
indemnify and hold harmless City of Eagle,Idaho(the"CLIENT"),their affiliates,directors,officers,
shareholders,employees,contractors,subcontractors,or agents,from and against any and all suits,legal or
administrative proceedings,claims,demands,actual damages,fines,punitive damages,losses,costs,liabilities,
interest,and attorney fees(including any such fees and expenses incurred in enforcing this indemnity)which result
from,arise out of,or are in any way connected with proven negligent acts or omissions of the CONSULTANT,its
employees,agents,and subcontractors,and their employees or agents. The CLIENT shall indemnify and hold
harmless the CONSULTANT and its directors,officers,shareholders,or employees,from and against any and all
suits,legal or administrative proceedings,claims,demands,actual damages,fines,punitive damages,losses,costs,
liabilities, interest,and attorney's fees(including any such fees and expenses incurred in enforcing this indemnity)
which result from,arise out of,or are in any way connected with negligent acts or omissions of the CLIENT,
employees,agents,and subcontractors,and their employees or agents.
Subcontractors: At the discretion of the CONSULTANT,the CONSULTANT may hire subcontractors to carry
out work contained within this scope.
Insurance and Liability: The CONSULTANT shall maintain Professional Liability,General Liability, Workers
Compensation and Automobile Liability insurance as required by the CLIENT in force for the duration of the
project. The CONSULTANT makes no warranties,express or implied,including the warranties of merchantability
and fitness for a particular purpose. Neither party will be liable for any special, incidental,or consequential
damages.
Unforeseen Circumstances: The CONSULTANT will not be in default of its obligations or agreements to the
extent that its performance is delayed or prevented by causes beyond its control, including,but not limited to acts of
God, losses by postal services,or delays in delivery of information by its clients or other consultants.
Announcements: The 45dB Acoustics,LLC name may not be used without prior written permission in
conjunction with,advertisement or promotion of the project or in conjunction with litigation with third parties
without consent of consultant,which consent shall not be unreasonably withheld.
Termination: The CLIENT may terminate this agreement at any time by providing written notice to the
CONSULTANT. Termination of the agreement will be effective upon receipt of such notice. In the event of such
termination,the CONSULTANT will be paid in accordance with this agreement for services rendered and expenses
incurred before the effective date of termination.
Attorney's Fees: If any action at law or in equity is brought to enforce or interpret the provisions of this
Agreement,the prevailing party shall be entitled to reasonable attorney's fees in addition to any other relief to which
he or she may be entitled.
Ownership: Designs,original ideas,concepts,calculations,documents and drawings developed by the
CONSULTANT during the course of the project remain the property of 45dB Acoustics,LLC.
Time is of the Essence: Time is of the essence for this agreement and each of its terms.
General: This agreement constitutes the entire agreement between parties with respect to the subject matter hereof
and supersedes all prior agreements,whether oral or written,between the parties with respect to such subject matter.
Different or additional terms contained in documents supplied by the CLIENT shall not apply unless approved by
written agreement between the CLIENT and the CONSULTANT.This agreement is binding on the CLIENT and
the CONSULTANT and their respective successors and assigns. All work to be in accordance with Local,City,
County, State and Federal standards and regulations.
