Section 2 of the Exhibit A to the NEOGOV Serrrices Agreement(Govemment Custamer Addendum)shall be deleied in
its entirety and replaced with the following:

Customer's finarocial ob]igations under this Services Agreement contingenE upon sufficient appropria#ion of funds by the
applicabfe legislature(or other appropriate govemmental body),and if such f�nds are not forthcoming or are insufficient
due to failure of such appropriation,then Customer will ha�e the right to terminate the Services Agreement at no
additional cost ancf with no penalty 6y giving prior written notice documenting the lack of funding.Gusfomer will provide
at least thirty(30)days advance written notice of such terminatian.Cusfomer wi[]use reasona6le efforts to ensure
appropriated funds are available."

A. Terms and Conditions
�. Agreement. This Ordering Doc�ment and #he Services purchased herein are exgressly conditioned
upon the acceptance by Custorner of the terrns of the NEOGOV Services Agreement either affixed
hereto or the �ersion most recently published prior to execution of this Ordering Form available at
htt�s:?;ww-wy.r�o�ov_comiservi��spe�ci;�c�ti�rs. Unless atherwise stated, all capitalized terms used
but not defined in this Ord�r Form shall ha�e the meanings given to them in the NEOGOV Services
Agreerrtent.
2- Effectiveness & Modification. N�ither Custorrzer nor NEOGOV wifl be bound by this Ordering
Document until it has been signed by its authorized representative (tl�e "EfFective Date"). Unfess
otherwise stated in this Ordering Document, all SaaS SubscriPfions shall commence an the
�f�ecti�e Date. This Ordering Docurr3ent may not be modified or amended except through a written
instrument signed by the parties.
3• Summary of Fees. Listed above is a summary of Fees under this Order. Once placed, your order
shall be non-cancefable and the sums paid nonrefundable, except as provided in the Agreement.
4• Order of Precedence. This C?rdering Document shall take precedence in the event of direct conflict
with the Services Agreement, a�plicable Schedules, and Service Specifications.
