Recitals. 1.1 GRANTOR owns the real property located in Ada County, State of Idaho as more particularly described on Exhibit "A" attached hereto and by this reference made a part hereof (hereinafter the "Servient Estate"). GRANTOR desires to grant an easement ("Easement") on, under, over and across the Servient Estate to the GRANTEE. GRANTEE desires to obtain the Easement on, under, over and across the Servient Estate which such Easement is described on Exhibit "B" attached hereto and by this reference made a part hereof. A drawing of the Easement is attached as Exhibit "C" attached hereto and by this reference made a part hereof. Such Dominant Estate shall consist of a the 20 -foot wide easement with a 10 -foot wide public path ("Public Path") generally centered within the Easement. 1.2 The Grantor does hereby grant the Easement to the GRANTEE, subject to the provisions of this Agreement. 1.3 This Easement is predicated on the GRANTEE timely receiving grant monies (ITD Key Number: 13916; Project Number: A013(916); Name: Dry Creek Trail, Eagle) to assist with construction and maintenance of the Dominant Estate, all as set forth in this Agreement. If such grant monies are not timely received by GRANTEE, this Agreement shall be null and void and of no further effect, and the PERMANENT EASEMENT AGREEMENT - 1 GRANTOR and GRANTEE shall record a document annulling this Agreement. For purposes of this Agreement, the grant monies must be received on or before December 31, 2018, for the grant to be "timely." 1.4 All of the recitals reflected in Section 1 are hereby acknowledged to be indispensible portions of this Agreement, and fully binding on both Grantor and Grantee. SECTION 2. Grant and Authorized Use; Use not Exclusive; Grantee Obligation. 2.1 Except as otherwise permitted by GRANTOR, the entirety of the Easement may be used by the Grantee for the construction, operation, maintenance and repair of all portions of the Easement as identified in Paragraph 1.2 above, including but not limited to the Public Path. Motorized vehicles may be used for construction, repair, maintenance and emergency activities. The Easement is and will be made available to the public under this Agreement for recreational purposes as contemplated Idaho Code § 36-1604. Users of the Easement area will not be considered guests, invitees or licensees of Grantor or Grantee. Nothing in this Agreement will be deemed to be Grantor's or Grantee's assumption of any duty, obligation or liability of any kind whatsoever with respect to any user of the Easement. Both Grantor and Grantee desire to reserve all immunities, exemptions, and limitations set forth therein. 2.2 GRANTOR provides the GRANTEE a license to access GRANTOR's property for purposes of maintenance as provided herein. 2.3 GRANTEE will replace trees removed during construction and provide additional trees for aesthetic and buffering purposes as determined by the City. 2.4 GRANTEE will install solar, bollard -style lights along the pathway and will install, street -style solar lights at both ends of the pathway. 2.5 GRANTEE may provide general City pathway signage consistent with the rest of the City pathways. GRANTOR may provide signage along its fence or gates indicating it as private property, that permission to pass is restricted, or similar such language. 2.6 GRANTEE will cover the Ballentyne Ditch which runs perpendicular to the pathway. 2.7 GRANTEE agrees to provide a memorial stone for the original donor of the property. The language on the stone shall be agreed by both GRANTEE and GRANTOR. 2.8 This Agreement does not extend to GRANTEE the right to use the surface of the Servient Estate to the exclusion of GRANTOR, and GRANTEE's PERMANENT EASEMENT AGREEMENT - 2 rights under this Agreement are subject to the rights of the GRANTOR and GRANTOR's guests, invitees, agents and contractors to use and enjoy the surface of the Servient Estate provided the structural integrity or uninhibited use by the public of the public pathway is not compromised by such activities. 2.9 This Agreement is also made subject to all existing easements of record. SECTION 3. Consideration. This easement is granted in accordance with the provisions of DR -62-05, Site Specific Conditions of Approval no. 7, dated October 3, 2005 and receipt of the Idaho Transportation Department ("ITD") grant ITD Key Number: 13916; Project Number: A013(916); Name: Dry Creek Trail, Eagle. Failure to timely secure the ITD grant as stated in Section 1.3 above, shall result in termination of this Agreement. The GRANTEE agrees to provide up to $10,000 in reimbursement match to the GRANTOR for the installation of a fence and gates, of any permissible material and style chosen by the GRANTOR, adjacent to the east boundary of the Easement. In the event GRANTOR elects to construct said fence and gates, GRANTOR shall provide invoices to the GRANTEE for reimbursement of half of actual costs not to exceed $10,000. In the event the building of such fence and gates require a design review by the GRANTEE, the cost of any permit for such design review shall be waived by the GRANTEE. The fence will solely be the Church's responsibility. The public pathway may be used by GRANTOR as a credit towards open space requirements on future land use applications with the GRANTEE. SECTION 4. Construction and Installation. GRANTOR grants temporary permission for GRANTEE to access and cross on, under, over and across the Servient Estate during the construction of the Public Path. The construction of the Public Path on, under, over and across the Servient Estate, will be completed by GRANTEE. All costs and expenses related to the design, construction, maintenance and repair of the any portion of the Dominant Estate, shall be the sole responsibility and obligation of, and shall be paid by, GRANTEE. SECTION 5. Maintenance GRANTEE shall maintain the physical integrity of the Public Path in good and reasonable condition and repair and as required to satisfy all requirements of applicable laws, the policies of GRANTEE and sound engineering practices. GRANTEE agrees to maintain the riparian property up from the east boundary of the Easement to the easterly water edge of Dry Creek in its natural state as shown PERMANENT EASEMENT AGREEMENT - 3 in Exhibit "D". GRANTEE shall maintain a five foot (6) wide gravel weed barrier on each side of the public pathway. Any fence constructed on GRANTOR's adjoining property shall be solely the responsibility of the GRANTOR. SECTION 6. Compliance with the Law. In its use of the Servient Estate, GRANTEE hereby covenants and agrees to comply in all respects with any and all federal, state and local statutes, law, ordinances, codes, policies, rules and regulations. SECTION 7. Indemnification and Insurance. GRANTEE hereby agrees to indemnify and hold harmless GRANTOR, GRANTOR's members, employees, representatives, and/or agents and their successors and assigns; for, from, and against claims of liability, costs and/or expenses including, reasonable attorneys' fees, in connection with damages, losses, injuries, and/or death to persons which may be asserted against GRANTOR, GRANTOR's members, employees, representatives, and/or agents; and their successors and assigns; arising out of or in relation to the negligent use of the Easement by GRANTEE, except to the extent (if any) such liabilities, costs or expenses are caused by, arise out of, result from or relate to GRANTOR's own negligence or intentional misconduct. During the term of this Easement, GRANTEE shall maintain liability insurance in an amount not less than the amount required under the Idaho Tort Claims Act, which is Five Hundred Thousand Dollars ($500,000) at the time this Easement is entered into. At the GRANTOR's request, GRANTEE shall provide GRANTOR a Certificate of Insurance naming the GRANTOR as the certificate holder and containing the following language: "To the fullest extent allowed by Article VIII, Section 4 of the Idaho Constitution and the Idaho Tort Claims Act, GRANTEE'S insurer agrees to provide a defense and indemnify Certificate Holder with respect to any alleged negligent or grossly negligent conduct committed by the primary insured political subdivision or its employees, officers, volunteers or agents which fall within the coverage of the policy of the insurance evidenced with this Certificate. " SECTION 8. Covenants Run with the Land. This Agreement shall be a burden upon the Servient Estate and shall be appurtenant to and for the benefit of the Dominant Estate, and shall run with the land. SECTION 9. Non-compliance. If either party believes the other party is not complying with the terms of this Agreement, the party shall provide such notice to the other party in writing. PERMANENT EASEMENT AGREEMENT - 4 SECTION 10. Exhibits. All exhibits attached hereto and the recitals contained herein are incorporated herein as if set forth in full herein. SECTION 11. Successors and Assigns. This Agreement, the permanent Easement herein granted, and the covenants and agreements herein contained shall inure to the benefit of and be binding upon the parties hereto and their successors and assigns to the Servient and Dominant Estate. SECTION 12. Recordation. This Agreement shall be recorded in the Official Real Property Records of Ada County, Idaho. SECTION 13. Arms -Length Transaction. This Permanent Easement Agreement is entered into freely and voluntarily by the parties with the approval of advice of counsel. SECTION 14. Governing Law, Jurisdiction, and Venue. Notwithstanding any claim or cause of action, the liability of GRANTEE is at all times herein strictly limited and controlled by the provisions of the Idaho Tort Claims Act, as now or hereinafter amended. Nothing herein shall be deemed a waiver of any privilege, immunity, protection or defense afforded to Eagle as a political subdivision of the State of Idaho, under the Idaho Constitution, the Idaho Tort Claims Act, or any other applicable law. This Agreement shall be construed and interpreted in accordance with the laws of the State of Idaho. The parties agree that the courts of Idaho shall have exclusive jurisdiction and agree that Ada County is the proper venue.
