RELEASE AND INDEMNITY
This Release and Indemnity(this"Release") is made by The Preserve LLC, an Idaho limited
liability company("The Preserve")for the benefit of the City of Eagle, an Idaho municipal corporation
("Eagle").
WHEREAS,The Preserve has applied to Eagle for the adjustment of certain lot lines set forth in Lot
Line Application No.LLA-02-11 ("LLA-02-11");
WHEREAS,LLA-02-11 places the building envelope of an adjusted lot over certain plat unused
easements that have not yet been vacated;
WHEREAS,The Preserve has applied for vacation of the unused easements as set forth in Vacation
Application No. VAC-01-11 ("VAC-Ol-11"), which application has not yet been approved;
WHEREAS, The Preserve desires to have the construction of improvements in the building envelope
to proceed prior to vacation of the unused easements pursuant to VAC-01-11; and
WHEREAS,Eagle is willing to issue permits for the construction of improvements in the building
envelope to proceed if The Preserve provides Eagle with the release and indemnity set forth herein.
NOW,THEREFORE, in consideration of Eagle's issuance of permits and approvals for lots adjusted
by LLA-02-11 prior to approval of VAC-01-11 as if the easements to be vacated under VAC-01-11 are
now fully vacated:
1. The Preserve assumes full responsibility for the risk of loss,damage, cost or expense that
may arise from Eagle's issuance of permits or approvals pursuant to this Release. In the event VAC-01-11
in not approved and The Preserve incurs damages to meet the setbacks and other building provisions in
Eagle City Code The Preserve shall be required to bring the building into compliance with Eagle City
Code at no expense to Eagle.
2. The Preserve hereby releases, waives and discharges Eagle and its officials,employees
and agents(collectively,the"Released Parties")from any and all liability for loss,damage, cost or
expense arising from issuance of any permits or approvals pursuant to this Release. The Preserve
covenants not to sue or seek any action against any Released Party for any such loss,damage, cost or
expense.
3. The Preserve hereby agrees to indemnify and hold harmless the Released Parties from
any claim for any loss,damage,cost or expense imposed by law from issuance of permits or approvals
pursuant to this Release.
4. The Preserve acknowledges and agrees that this Release is intended to be as broad and
inclusive as permitted by the laws of the State of Idaho,and shall be binding on The Preserve's heirs,
successors and assigns.
