GENERAL L It is the borrower's responsibility to become familiar with stipulations covering this transaction. 2. No loans will be made until necessary documentation has been received by the Bureau of Reclamation (Reclamation), including an Outgoing Loan Agreement signed by both parties. 3, Inspections of outgoing long-term loans and Borrower's facility housing such loans shall be made at regular intervals by a Reclamation staff member, 4. This long-term outgoing loan of an ensign valve shall remain at the designated repository until such time as it is requested by Reclamation, or until such time as the repository is unable to care for the loan in accordance with the loan stipulations, 5, The borrower is not permitted to make third party loans, Such loan requests shall be treated as an independent outgoing loan and negotiated between Reclamation and the second borrowing institution, 6, Borrower agrees to incur all expenses relating to this loan unless otherwise noted, 7, Responsibility for meeting the terms agreed to in this loan agreement remains with the person signing this agreement and the institution, organimtion, or facility represented. 8. Borrower agrees not to use the ensign valve in this loan for commercial gain. 9, If ensign valve is to be displayed, Reclamation shall be credited for all materials furnished as part of this loan, The credit line shall read as noted on the face of this agreement 10. Should loss, damage, or deterioration occur to the ensign valve in the borrower's premises, it shall be reported as soon as practicable. The borrower should take photographs and document damage with dates, names, and other details of the occurrence and notifY Reclamation in writing, It is understood that any necessary repairs will be arranged for or handled by Reclamation staff, and that the borrower or its insurance company is liable for all costs resulting from damage, including the cost of conservation, for any reduction in value or replacement. I L The borrower, in the event of change of address, shall provide Reclamation with written notification thereof within 15 days of such change, B. INSURANCE L The borrowed ensign valve shall be continuously and fully insured by the borrower at the borrower's expense for the life of the loan, Insurance shall be wall-to-wall, and the borrowed property insured against all risks of physical loss or damage from any external causes while in transit and on location for the entire duration of the loan. Required insurance must be arranged and agreed to by Reclamation before ensign valve may be removed from Reclamation premises. 2. Any lapses in coverage or any failure to secure insurance and/or any inaction by Reclamation regarding notice will not release the borrower from liability for loss or damage. 3. Borrower agrees to waive all claims and recourses against Reclamation for loss or damage to persons or property arising from this agreement Borrower agrees to defend, indemnifY, and hold hannless Reclamation from all liability, loss, cost, or obligation on account of or arising out of any injury to any person or property of any kind, from any cause whatsoever, in any way connected with borrower's use of said property, including acceptance and re-delivery thereof. 4. Reclamation must be notified in writing at least 20 days prior to any cancellation or meaningful change in the borrower's insurance policy. CONDITIONS FOR OUTGOING LOANS (continued): C. CONDITION L The bonowed ensign valve shall remain in the condition in which it was received, and shall not be altered in any way without prior permission of Reclamation (including use of metal preservatives, painting, repairs, among other things), D. PACKING AND SHIPPING I, Bonower is responsible for packing and shipping the ensign valve to the museum, 2, Prior to receipt of the ensign valve, the bonower agrees to select a site for display of the valve, and at that site, to construct a support structure of concrete or other substantial material to serve as a stable base for the valve, Reclamation agrees to provide the bonower with plan designs for a support and foundation pedestal for the ensign valve, E. EXTENSIONS AND RECALL I, Any extension of the loan period must be requested in writing within 30 calendar days of the loan expiration date and accompanied by proof of insurance covering the loan for the period of the extension, Extension of this loan will be made by written notice. 2. Reclamation reserves the right to inspect or audit museum property on loan on short notice, if necessary, Should Reclamation desire to recall the ensign valve for its own purposes, it may do so on 30 days notice to the borrower, 3, Bonower agrees to give thirty (30) days written notice to the lender if electing to cancel this loan prior to the term of this loan agreement. F. ACCESS/PUBLIC EDUCATION 1, Borrower agrees to display the ensign valve at a location freely accessible to the general public, in a manner that interprets (through signs, displays, brochures, or other techniques) information about the valve - - its function and historic importance to Anowrock Dam and the development of the Boise Valley, Acknowledgment of the Bureau of Reclamation's loan of the ensign valve shall be included in any interpretation to the public. 2, Reclamation will review and approve any and all interpretation of the ensign valve to the public, including displays, signs, brochures, and working models, ele,
