Independent Contractor - 2012 - Coordinator / Museum - 9/5/2012 AGREEMENT FOR SERVICES
THIS AGREEMENT, made this day of September, 2012, by and between
the City of Eagle, Idaho a municipal corporation (hereinafter "Eagle"), and Alana Dunn
(hereinafter referred to as "Coordinator").
WHEREAS, the City of Eagle, a municipal corporation duly organized and
existing under the general municipal laws of the State of Idaho, desires to retain the
services of an Interim Museum Coordinator to serve the City of Eagle. The services of
the Interim Museum Coordinator will be for a duration of no longer than three (4) weeks,
concluding on or before September 30, 2012.
WHEREAS, Alana Dunn desires to act as an independent contractor to the City of
Eagle for the purpose of providing Interim Museum Coordinator services;
NOW, THEREFORE, for and in consideration of the mutual promises contained
herein, the parties agree as follows:
1.) That Alana Dunn, shall act as the Interim Museum Coordinator for the City;
2.) The Coordinator shall report directly to the City Clerk of the City of Eagle. The
City Clerk shall oversee and direct all aspects of the Coordinators interim duties. Duties
shall include, but are not limited to, those as described on the job description for the
Museum Coordinator attached hereto and incorporated herein by reference.
3.) In consideration for services rendered, the City of Eagle agrees to pay the
Coordinator in the amount of twelve dollars ($12.00) per hours. The Coordinator shall
submit a time sheet detailing hours and a description of activities to City Clerk's Office
by the 21St of September in order to be paid on September 26th and the last time sheet
shall be submitted by October 1st in order to be paid on October 10, 2012. Payment dates
coincide with City Council Meetings where Claims Against the City are approved by the
Council.
4.) Independent Contractor: The Coordinator is an independent contractor of Eagle
and in no way is an employee or agent of Eagle. As such, the Coordinator shall not be
entitled to any benefits of employment with Eagle. Eagle shall have no control over the
performance of this Agreement by the Coordinator, except Eagle shall specify the time
and place of performance.
5.) Term of Contract: The term of this contract shall begin upon execution of the
Agreement and shall end no later than September 30, 2012.
6.) Indemnification: Coordinator agrees to indemnify and hold Eagle harmless from
any liability, claims, or damages arising out of or in any way connected with
Coordinator's performance of the work described in this Agreement.
7.) Taxes: The Coordinator is responsible for payment of any local, state, or federal
taxes, including estimated taxes, workman's compensation insurance and employment
reporting requirements imposed by local, state, or federal laws.
8.) Confidentiality: The Coordinator and Eagle shall maintain in confidence (A) the
subject matter of this Agreement, (B) the work carried out hereunder, (C) any work
product or document/programs conceived hereunder, and (D) any business or technical
information of Eagle acquired by the Coordinator as a result of the work carried out
pursuant to this Agreement. Neither party shall without the other's prior authorization,
directly or indirectly use, publish, or discuss any work product, information, data,
designs, results, or opinions resulting from the work carried out pursuant to this
Agreement. These obligations of confidentiality shall continue throughout the duration
of this Agreement and thereafter.
9.) Records: Coordinator shall keep full and accurate records of all work performed
under this Agreement.
