WORK ORDER & AUTHORITY TO PROCEED
This Work Order Agreement (WOA) is made effective as of the date of the last signature below.
Between:
Biarri Networks Pty Ltd City of Eagle, Idaho
("Biarri" or"Biarri Networks") ("Client" or"City of Eagle")
(each a"Party"and together referred to as the "Parties")
The Parties hereby agree to the scope of work as further described below.
The purpose of this document is to describe in detail the specified works that are to be performed by
Biarri Networks for the design and engineering components of the City of Eagle HLD project.
This WOA is subject to the terms and conditions set forth at https://biarrinetworks.com/terms-of-
service/services
The Biarri Networks Project Manager for this WOA is initially designated as Avery Beckstrom
(avery.beckstrom@biarri.com).

2. Terms and definitions
City of Eagle HLD Complete Architecture Playbook Document describing the OSP architecture and design
("CAP") rules&guidelines to be used throughout the project
Bill of Materials ("BOM") An itemised list of materials proposed to be used in
the network design, including the required quantity of
each material
Feasibility Level Design ("FLD") Initial network design generated with minimal data
preparation and/or designer review intended to
provide initial costing estimates
Fiber Optic Network Design ("FONDTM ) Biarri Networks' patented auto-design software.
Low Level Design ("LLD") Detailed version of network design updated based on
field validation feedback
High Level Design ("HLD") Initial version of network design used for field
validation
Households Passed ("HHP") Each unique living unit or fiber demand point. For
example, a multi-dwelling unit (MDU) apartment
building containing 20 apartment units is considered

4. Design and Engineering Scope of Work
Scope of Work
• Data Preparation
• Review and validation of the datasets to ensure auto-design can be performed. Biarri
will furnish a report at the conclusion of this step that will outline any potential risks with
any of the datasets provided to Biarri as well as how any specific fields are to be used or
interpreted in the design process and suggest any corrective actions that may be
applicable.
• Data will be prepared and modified to fit Biarri's Standard Input Schema. The SIS
describes the input files and fields used to generate fiber network design output. Some
of these files and fields are necessary and make up the minimum input. Other files and
fields are optional, and provide more granular geographic information to allow the
network design tool to improve overall design accuracy and reduce cost.
• High Level Design
• Generate High Level Design/s using the data prepared in the prior step, in accordance
with the architectural requirements set forth during Project Establishment and outlined in
the City of Eagle HLD CAP. HLD/s will be delivered in accordance with the SOS or
other output schema as identified during project establishment.
• Review and iteration (if required) of the HLD/s. Up to 1 additional design iterations are
included in the price. Architecture and design rules requirements are limited by Biarri's
existing toolset configured during the Project Establishment. Any additional development
is not included in this scope and may incur additional charges.
• The HLD outputs are intended to be used for field validation purposes or costing
calculations.

Deliverables to be provided by Biarri as part of the Scope of Work defined above are:
• Data Preparation
• Data Acceptance Report
• Cleaned data for Auto-design in SIS
• High Level Design
• HLD for each project area in SOS complying with the architecture defined in the City of
Eagle CAP
• BoM for each project area

Pricing Tasks Notes:
1. All pricing is in USD unless stated otherwise.
2. The estimate of total cost is the list price multiplied by the quantity estimate for that specific task.
Quantities are subject to change over time.
3. The pricing table above is based on the assumptions between the Parties at the time of execution
of this WOA. Not all items listed above will be required for the duration of the Scope of Work. Any
modification to this scope, other than modification of quantities of HHP, will be documented in a
Change Request as mutually executed by the Parties.

6. Invoicing milestones and payment
The relevant invoicing milestones will be as follows:

Data Preparation In arrears at the end of each month for all data delivered to
Biarri in that month
High Level Design In arrears at the end of each month for all HLDs submitted in
that month
Milestones and Payments notes:
1. All invoices for payments will be delivered electronically by Biarri by the end of each
calendar month. All invoices are to have the appropriate accompanying information to justify
the completed work within the month in which the work was completed in accordance with that
invoice.
2. Invoices will be paid within 30 days from the date of invoice.
3. All invoices will be in USD.
7. Expenses
1. Any travel related expenses will be approved by City of Eagle prior to incurring.
