Service Solicited - 2021 - Biarri Networks - Biarri Networks Work Order & Authority to Proceed 11/15/2021 Biarri Networks Agreement Reference ID:WOA 1017-City of Eagle,ID WORK ORDER & AUTHORITY TO PROCEED This Work Order Agreement (WOA) is made effective as of the date of the last signature below. Between: Biarri Networks Pty Ltd and City of Eagle, ID ("Biarri"or"Biarri Networks") ("Client"or"City of Eagle, ID") (each a"Party"and together referred to as the"Parties") The Parties hereby agree to the scope of work as further described below. The purpose of this document is to describe in detail the specified works that are to be performed by Biarri Networks for the design and engineering components of the Eagle, ID FLDs project. This WOA is subject to the terms found at https://biarrinetworks.com/servicestos. Networks Agreement Reference ID:WOA 1017-City of Eagle,ID City of Eagle, ID Complete Architecture Playbook Document describing the OSP architecture and design ("CAP") rules&guidelines to be used throughout the project Bill of Materials ("BOM") An itemised list of materials proposed to be used in the network design, including the required quantity of each material Feasibility Level Design ("FLD") Initial network design generated with minimal data preparation and/or designer review intended to provide initial costing estimates Fiber Optic Network Design ("FOND`"") Biarri Networks' patented auto-design software. Low Level Design ("LLD") Detailed version of network design updated based on field validation feedback High Level Design ("HLD") Initial version of network design used for field validation Households Passed ("HHP") Each unique living unit or fiber demand point. Design and Engineering Scope of Work Scope of Work • Project Establishment • Confirm the technical requirements of the project, including: - Data inputs and outputs, • OSP architecture and rules, • Workflows and; • Project management and reporting standards. • Document all design & engineering rules in the City of Eagle, ID CAP. • Upon completion of the CAP and associated documents, Biarri will configure its toolset, including FONDTM, in accordance with these requirements. This will include any customization required beyond the configurations available in the SAS, SOS, and SSS. • Biarri will work with City of Eagle, ID to ensure the outputs from this configuration are as expected via testing it on a subset of the total service area, prior to going into full production of designs. • Feasibility Design • Produce feasibility level designs (GIS format) with high level Bill of Material (BoM) to the standard set forth during Project Establishment. • This design will have minimal data processing and review and is intended to provide initial costing estimates for the area. The estimate of total cost is the list price multiplied by the quantity estimate for that specific task. Quantities are subject to change over time. 3. The pricing table above is based on the assumptions between the Parties at the time of execution of this WOA. Not all items listed above will be required for the duration of the Scope of Work. Any modification to this scope, other than modification of quantities of HHP, will be documented in a Change Request as mutually executed by the Parties. Invoicing milestones and payment The relevant invoicing milestones will be as follows: Item Invoicing Milestone Feasibility Design In arrears at the end of each month for all Feasibility Designs submitted in that month. Milestones and Payments notes: 1. All invoices for payments will be delivered electronically by Biarri by the end of each calendar month. All invoices are to have the appropriate accompanying information to justify the completed work within the month in which the work was completed in accordance with that invoice. 2. Invoices will be paid within 30 days from the date of invoice. 3. All invoices will be in USD. 7. Expenses 1. Any travel related expenses will be approved by City of Eagle, ID prior to incurring.
