This Agreement for Legal Services (hereinafter referred to as "Agreement") is made this
day of January 2016, by and between the CITY OF EAGLE, a municipal corporation
organized and existing by virtue of the laws of the State of Idaho (hereinafter referred to as
'Eagle"), and the CITY OF BOISE, a municipal corporation organized and existing by virtue of
the laws of the State of Idaho (hereinafter referred to as "Boise") (collectively, the "Parties").
I. The Parties wish to enter into an agreement for the specific purpose of drafting, for
execution by Eagle, a legal document terminating a contract between Eagle and Eagle
Superpark, LLC.
II. Eagle and Boise have an existing contract for City Prosecutor/Criminal Legal
Services effective October 1, 2015, through September 30, 2016.
III. For purposes of this Agreement the parties agree to incorporate Sections 6, 7, 8, 9, 10,
11, and 12 from the City Prosecutor/Criminal Legal Services contract into this
Agreement.
IV. The services to be provided by Boise pursuant to this Agreement are as follows:
a. Draft a termination agreement for the purpose of terminating the Concession and
Exclusive Use Agreement between Eagle and Eagle Superpark, LLC, for the
operation of a winter recreation park on Eagle's property; and
b. Draft a resolution to facilitate consideration and approval of the termination
agreement; and
c. Provide legal advice related to the Concession and Exclusive Use Agreement
between Eagle and Eagle Superpark, LLC, the termination agreement and its
approval by the Eagle City Council.

V. Eagle shall pay Boise $125 per hour for the legal services described in section IV.
Boise will invoice Eagle separately for the services performed under this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement on this day of
January, 2016.
