Box 1520 Eagle, ID 83616 Re: Non-Binding Letter of Intent to Commit Funding Dear Bill: As discussed at the March 12, 2021, Regional Geographic Advisory Work Group meeting, COMPASS intends to facilitate a partnership to acquire digital orthophotography and associated data in the spring of 2022. Participants will provide a proportionate share of funding to help pay for the project. The project will acquire current and accurate digital high resolution orthophotography with other associated products to be listed in the RFP on behalf of all contributing partners. COMPASS is the lead for the project and requires this Letter of Intent to Commit Funding as the first step of a commitment to the project. This letter gives COMPASS the ability to continue with the management of the project and provides a framework for finalizing the scope of the work with the selected consultant and negotiating the contract. If the City of Eagle wishes to participate, it is expected that the City of Eagle will contribute up to $2,183 for its share of the project cost. This contribution level will allow the City of Eagle to receive data for the impact area of its jurisdiction. Additional data may be acquired for an additional amount, as shown in Attachment 1. The amount of funding paid toward the project dictates the quantity and coverage of the data that will be delivered to City of Eagle. The overall scope of the project may be limited by the total amount pledged by all participants. Participants will be provided with the final scope of work before funds are due. COMPASS asks that the funding commitment be communicated to appropriate staff and the governing body so that it may be included in the City of Eagle's FY2022 budget. COMPASS understands that the City of Eagle's agreement to provide funding for this project is subject to approval by the City Council. Should the City Council not approve such an expenditure, City of Eagle will have no legal obligation to provide funding. Once the final scope of work and budget for the overall project is in place, City of Eagle will be asked to execute a Memorandum of Agreement finalizing the obligation. 700 NE end Street,Suite 200 Meridian,ID 83642 I P.208.855.2558 F.208.855.2559 www.com.assidaho.or• It is understood that the final amount required by each participant will be determined by the agreed upon Cost Allocation Model (CAM) once the partnership has reviewed and accepted a Project Proposal. The undersigned will provide COMPASS with a signed Memorandum of Agreement at that time. It is understood that the data resulting from this project is not for sale or redistribution by the partnering agencies. Purchasers may use the data for any internal purpose within their agency. Purchasers may share the data with consultants only for the specific purpose of providing the services for which the consultant is contracted with the purchaser. Ownership of the data may not be transferred to consultants or other non-purchasers for any reason without the express written consent of COMPASS. Any and all data sales from this project will be conducted by COMPASS for the purposes of funding future acquisitions. Any derived contour or digital terrain model (DTM) will be withheld from the public domain for the period of at least two years to provide revenue for future flights. COMPASS member agencies may after that time, request an action from the COMPASS Board to release the data to designated parties.
