Service Solicited - 2015 - Franz Witte Landscape Contracting Inc - Franz Witte / Landscape / Hill RoadSERVICE AGREEMENT BETWEEN THE CITY OF EAGLE, IDAHO AND FRANZ WITTE LANDSCAPE CONTRACTING, INC. THIS AGREEMENT is made and entered into as of this day of , 2015, by and between THE CITY OF EAGLE, an Idaho municipal corporation `hereinafter referred to as "CITY "), and FRANZ WITTE LANDSCAPE CONTRACTING, INC., an Idaho corporation (hereinafter referred to as "FRANZ WITTE "). Collectively the City and Franz Witte shall be referred to as "the Parties ". RECITALS WHEREAS, the CITY is a municipal corporation duly organized and existing under the laws of the State of Idaho; and WHEREAS, pursuant to Idaho Code §50 -301 et seq., the CITY is empowered to contract and be contracted with; and WHEREAS, the CITY desires to provide landscaping and irrigation installation for the Hill Road Extension property in order to protect the community's health and welfare in accordance with the provisions of the City Code and to assure that the aesthetics and continued utilization of municipal properties by the residents of CITY persists; and, WHEREAS, the CITY recognizes FRANZ WITTE as having the necessary qualifications, equipment and capabilities to provide a full range of landscaping and irrigation installation services. NOW, THEREFORE, for the consideration recited herein below, the CITY and FRANZ WITTE enter this Agreement according to the following terms and conditions: 1. Appointment of Contractor. Franz Witte Landscape Contracting, Inc., 9770 West State Street, Boise, Idaho 83714 shall be appointed contractor for landscape and irrigation installation for the Hill Road Extension Landscape for the City of Eagle subject to the terms of this Agreement. 2. The Scope of Work. Franz Witte shall provide services as follows: a. Franz Witte shall install and construct topsoil, trees, shrubs, weed barriers, mulch, pavers, planter pots, historic street lights and point source irrigation along the new Hill Road Extension per plans and specifications provided by the City Council. Such designs, plans and specifications shall satisfy applicable laws, City Code and good engineering practices. Project limits consist of medians and landscape beds between detached sidewalks and curb from State Highway 55 to the Hill Road connection at Winding Creek. SERVICE AGREEMENT BETWEEN THE CITY OF EAGLE, IDAHO AND FRANZ WITTE LANDSCAPE CONTRACTING, INC. - 1 b. FRANZ WITTE shall provide the requisite expertise which shall include a qualified landscape and irrigation installer within the State of Idaho who shall review and evaluate plans and specifications of the Landscape Project (hereinafter referred to as "Project "). 3. Contract Documents: The Contract Documents consist of this Agreement and the plans and specifications prepared by Baer Design Group, LLC, the City's Request for Proposals, the Response to Request for Qualifications proposal from Franz Witte, dated July 24, 2015, (attached hereto as Exhibit "A ") and updated and revised on August 19, 2015 (attached hereto as Exhibit `B ") and other documents referred to in this Agreement, and in any modifications and/or change orders issued after execution of this Agreement supersedes prior negotiations, representations or agreements, either written or oral. If anything in the other Contract Documents is inconsistent with this Agreement, the specific provisions of this Agreement shall govern. 4. Subcontractors, Suppliers and Professionals. Portions of the Project that Franz Witte does not intend to perform with Franz Witte's own personnel may be performed under subcontracts or by other appropriate agreements with Franz Witte. Prior to the commencement of construction, Franz Witte shall furnish the City a complete list of names and addresses of all subcontractors, material suppliers (including equipment renters), surveyors and other professionals with whom Franz Witte has directly contracted or intends to contract (collectively "Subcontractors and Suppliers ") who may have a right to lien the property for work or professional services performed or materials supplied. In the event Franz Witte contracts with or employs any additional Subcontractors or Suppliers during the term of this Agreement, Franz Witte shall immediately give notice of such additional Subcontractors and Suppliers to the City. 5. Commencement and Completion., The commencement date of construction shall be _ 2015 ( "Commencement Date "). Franz Witte shall achieve substantial completion of the Project not later than October 30, 2015. 5. Changes in the Work. Changes in the Project which are within the general scope of the Agreement may be accomplished by a Change Order without invalidating this Agreement. A Change Order is a written instrument issued after the execution of this Agreement signed by the City and Franz Witte stating their agreement upon the change in the Project and, if necessary, an adjustment to the Contract Sum and the completion date. Any adjustment to the Contract Sum or the completion date required by the Change Order shall be expressly set forth in the Change Order and, if no such adjustment is expressly set forth in the Change Order, there should be no implied agreement for changing the Contract Sum or the completion date. SERVICE AGREEMENT BETWEEN THE CITY OF EAGLE, IDAHO AND FRANZ WITTE LANDSCAPE CONTRACTING, INC. - 2 7. Compensation of Franz Witte. The Compensation of Franz Witte shall be based upon the proposal submitted by Franz Witte dated July 24, 2015 (attached hereto as Exhibit "A "), and updated and revised on August 19, 2015 (attached hereto as Exhibit `B "), with the deduction of Alternative #1 and the addition of Park Frontage for a total contract price of $419,779.25. 8. Independent Contractor. The City and Franz Witte hereby agree that Franz Witte shall perform the Services exclusively as an independent contractor and not as employee or agent of the City. The Parties do not intend to create through this Agreement any partnership, corporation, employer /employee relationship, joint venture or other business entity or relationship other than that of independent contractor. Franz Witte, its managers, members, directors, officers, shareholders, agents and employees shall not receive nor be entitled to any employment- related benefits from the City including without limitation, workers compensation insurance, unemployment insurance, health insurance, retirement benefits or any benefit that the City offers to its employees. Franz Witte shall be solely responsible for the payment of all payroll and withholding taxes for amounts paid to Franz Witte under this Agreement and for Franz Witte's payments for work performed in performance of this Agreement by Franz Witte's managers, members, directors, officers, shareholders, agents and employees; and Franz Witte hereby releases, holds harmless and agrees to indemnify the City from and against any and all claims or penalties, including without limitation the 100% penalty, which in any manner relate to or arise from any failure to pay such payroll or withholding taxes. 9. Warranty. Franz Witte warrants that all equipment used to perform this Agreement will function safely, properly, and efficiently and that all services will be performed in a safe, professional and workmanlike manner. Franz Witte agrees and warrants that all of Franz Witte's drivers are duly licensed to and capable of operating the trucks and trailers contemplated in this Agreement safely and efficiently in adverse or extreme road and weather conditions and that Franz Witte and its drivers shall obey all traffic laws, drive safely and professionally, and act in a polite professional manner. Franz Witte warrants and agrees that under no circumstances while performing the Services shall Contractor or any of its drivers be under the influence of any alcohol or other legal or illegal drugs or substances which may impair their driving skills, reaction time or iudgment. 10. Indemnification. Franz Witte agrees to indemnify and hold the City harmless from and against all claims, suits, damages (including without limitation, damages to persons and property including deaths), costs, losses, and expenses, in any manner related to or arising from the acts or omissions of Franz Witte, its managers, members, directors, officers, shareholders, agents and employees. 11. Registration. Franz Witte agrees to maintain all registration, license and insurance as required by the laws and decisions of the State of Idaho for all trucks SERVICE AGREEMENT BETWEEN THE CITY OF EAGLE, IDAHO AND FRANZ WITTE LANDSCAPE CONTRACTING, INC. - 3 and trailers used in the performance of this Agreement throughout the term of this Agreement. Franz Witte shall furnish proof of said registration, license and insurance to the City prior to performing any of the Services or being entitled to any pay there for. 12. Insurance. Franz Witte shall maintain public liability insurance in the amount of $500,000.00 and workers compensation insurance from an insurance carrier licensed to do business in the State of Idaho, and furnish proof of said insurance to the City prior to performing any of the Services or being entitled to any pay therefore. 13. Compliance With Laws/Public Records. Franz Witte, its managers, members, directors, officers shareholders, agents and employees shall comply with all federal, state and local laws, rules and ordinances. This Agreement does not relieve Franz Witte of any obligation or responsibility imposed upon Franz Witte by law. Without limitation, Franz Witte hereby acknowledges that all writings and documents, including without limitation email, containing information relating to the conduct or administration of the public's business prepared by Franz Witte for City regardless of physical form or characteristics may be public records pursuant to Idaho Code Section 9 -337 et seq. Franz Witte further acknowledges that, subject to certain limitations, the public may examine and take a copy of all such public writings and records. Accordingly, Franz Witte shall maintain such writings and records in such a manner that they may readily identified, retrieved and made available for such inspection and copying. 14. Notice. All notices, requests, demands or other communication required or provided for under this Agreement, other than instructions given by the City pursuant to Paragraph 2 herein above shall be in writing. Franz Witte hereby acknowledges that the City has agreed to enter this Agreement based in part on Franz Witte's unique skills and reputation for professional work. Accordingly, Franz Witte may not assign or transfer in any manner this Agreement or any of Franz Witte's right, title or interest in or to this Agreement without the prior written consent of the City which may be withheld for any reason. 16. Amendments. This Agreement may only be changed, modified, or amended in writing executed by all parties. The headings in the Agreement are inserted for convenience and identification only and are in no way intended to describe, interpret, define, or limit the scope, extent, or intent of this Agreement or any provision hereof. 18. Attorney Fees And Costs. In the event that either party hereto is required to retain the services of an attorney to enforce any of its rights hereunder, the non- prevailing party shall pay to the prevailing party all reasonable costs and attorney fees incurred in such enforcement, whether or not litigation is commenced and including reasonable costs and attorney fees on appeal. 19. No Presumption. No presumption shall exist in favor of or against any party to this Agreement as the result of the drafting and preparation of the document. 20. Governing Law. This Agreement shall be governed by the laws and decisions of the State of Idaho. 21. Entire Agreement. This Agreement contains the entire Agreement between the parties respecting the matters herein set forth and supersedes all prior Agreements between the parties hereto respecting such matter. 22. Execution and Fax Copies and Signatures. This Agreement may be executed simultaneously in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 23. Authority. The parties executing this Agreement warrant, state, acknowledge, and affirm that they have the authority to sign the same and to bind themselves to the terms contained herein.
