Cost Share - 1998 - ITD NH-F-3271 (052) Key #3758 - SH 55 / SH 44 / SH 55 / Hill Road - 3/24/1998 ~.L CITY OF EAGLE COOPERATIVE AGREEMENT (Illumination) PROJECT NH-F-3271 (052) SH55/SH44 AND SH55/ HILL ROAD KEY NO. 3758 MAR 2 4 1998 File: Route to: --1 PARTIES THIS AGREEMENT is made and entered into this ~4f1:.. day of MJl i"C ~ ' 1998, by and between the IDAHO TRANSPORTATION DEPARTMENT, hereafter called the STATE, and the CITY OF EAGLE, hereafter called the CITY. PURPOSE Both Parties mutually agree that it is in the publics best interest to construct illumination at the intersection of State Highway 44 (State Street) and State Highway 55, also Hill Road and State Highway 55. These improvements are to be made in accordance with the attached plans entitled Exhibit "A", Federal Aid Highway Project NH-F-3271(052). The CITY, by authority of Title 50, Idaho Code, may adopt and enforce traffic control ordinances within its corporate limits in accordance with the Manual on Uniform Traffic Control Devices for Streets and Highways, as adopted by the STATE. Authority for this Agreement is established by Section 40-317 of the Idaho Code. The Parties agree as follows: SECTION I. That the STATE will: 1. Assume no responsibility for the timely performance of this Agreement. 2. Program the construction of the project and execute all necessary agreements. 3. Advertise for the construction of the project, open bids, and prepare a contract estimate of cost based on the successful low bid. -1- 4. Award a contract for construction of the project based on the successful low bid, if it is not over ten (10) percent above the estimate for cost of construction. 5. Designate a resident engineer and other personnel, as the STATE deems necessary, to supervise and inspect construction of the project in accordance with the plans, specifications and estimates in the manner required by applicable state and federal regulations. This engineer, or his authorized representatives, will prepare all monthly and final contract estimates and change orders. 6. Cause to be replaced to original, equal or better condition any existing sidewalks, curb and gutter, pavement, regulatory signs, sewer facilities, fences and other similar items, except as hereafter stated as obligations of the CITY, and excluding shrubs and other plantings within the right-of-way, removed or damaged by construction operations. 7 . Permit the CITY to retain, maintain, connect improve all existing CITY owned water lines, storm and sanitary sewer now in place on the state right-of-way. to and sewers, highway B. SECTION II. That the CITY will: 1. By signing this Agreement, signify approval of the plans. 2. Authorize the STATE to administer the project and make any necessary changes and decisions within the general scope of the plans and specifications. Prior approval of the CITY will be obtained if it is necessary during the life of the construction contract, to deviate from the plans and specifications to such a degree that the nature of the completed work is significantly changed. 3. By appropriate ordinance and police action, cooperate with -2- and assist the STATE in prohibiting and encroachments on any part of the state highway way within the project limits. removing right-of- 4 . Upon completion of the project, accept from the STATE, ownership of all highway and street lighting equipment, to be installed in accordance with Exhibit "A", and upon request to energize, assume all operation, and the costs thereof, required to maintain the equipment in continuous service during the hours of darkness and not remove, alter or abandon the lighting equipment without the prior concurrence of the STATE. In the event that the "Average Maintained Foot-Candles II of the lighting system drops below seventy (70) percent of the original installed values, the CITY shall cause the light intensity to be restored to approximately the original values. Any combination of relamping and/or cleaning of fixtures may be used to achieve the necessary desired intensity. 7. Comply with all pertinent sections of the STATE'S Standard Specifications for Highway Construction in accomplishing all future trench backfill and pavement repairs on the state highways within the project limits. B. Obtain concurrence of the STATE before installing or constructing any new, or relocating any existing sidewalk or any existing CITY-owned water line, storm sewer, sanitary sewer or other facilities on the state highways within the project limits. 9. Obtain concurrence from the STATE before vacating or closing any right-of-way connecting to the state highways within the project limits. 10. Obtain concurrence from the STATE before accepting any new street or alley right-of-way connecting to the state highways within the project limits. 11. Indemnify, save harmless and defend regardless of outcome the STATE from expenses of and against suits, actions, claims, or losses of every kind, nature and description, including costs, expenses and attorney fees that may be incurred by reason of any act or omission, neglect or -3- misconduct of the CITY in the maintenance of the work. SECTION III. Both parties agree that: 1. This Agreement shall become effective on the first date mentioned above and shall remain in full force and effect until amended or replaced upon the mutual consent of the CITY and STATE. -4- EXECUTION This Engineer: the City EAGLE.
