Service Solicited - 2020 - Waxie Sanitary Supply - Sanitary Supply ServicesSANITARY SUPPLIES SERVICE AGREEMENT This SANITARY SUPPLY SERVICE AGREEMENT ("Agreement") is made and entered into this (GPI day of N 0.00072020, by and between the City of Eagle, Idaho, an Idaho municipal corporation ("City") and Waxie Sanitary Supply ("Vendor"). The City and Vendor are sometimes collectively referred to herein as the "Parties." RECITALS WHEREAS, the City issued a Request for Quote (RFQ) dated August 25, 2020; and WHEREAS, the City awarded a contract on September 27, 2020, pursuant to that process; and WHEREAS, the Vendor possess qualifications, skills, and the products necessary to provide sanitary supply services; AGREEMENT NOW, THEREFORE, in consideration of the mutual promises contained herein, Waxie Sanitary Supply and the City of Eagle do hereby agree to the following: 1. Waxie Sanitary Supply agrees to supply such commodity or services in accordance with the terms, conditions, and specifications in the Request for Quote (RFQ), including appendices and amendments, and Official Bidding Form Response. The Request for Quote (RFQ) and the Vendor's response are incorporated and made a part of this Service Agreement as identified by "Exhibit A." 2. The term of this agreement shall be valid until November 19, 2021. This Service Agreement may, at the sole discretion of the City Council, be renewed for an additional year and up to three (3) consecutive years. If this Service Agreement is subject to renewal into its second and or third year, such renewal will be in the foun of an amendment to the Service Agreement. 3. The terms of this Agreement shall follow this order of precedence: a. The specific terms and conditions stated herein. b. Original Request for Quote (RFQ), including appendices/amendments. c. Contractor's response to the Request for Quote (RFQ) d. Official Purchase Order (when applicable). 4. This Service Agreement may be amended only by written agreement of the parties 5. Either party may terminate this Service Agreement upon thirty (30) days written notice.
