PRE-COUNCIL AGENDA: 5:30 p.m.-6:30 p.m.
1. ACHD will provide the Council a status update on the Northwest Foothills Transportation
Plan Update.—Jeff Lowe,ACHD Planner, presents a power point presentation and provides
Council an overview of plan update and also where they are headed. General discussion.
2. ACRD-Update on Eagle Road Safety Improvement between SH44& Plaza. Craig Herndon,
I'm here to discuss with you a traffic safety project, Eagle Road, SH33 to Plaza Drive. Presents a
power point presentation and discusses the same. The traffic signal at Plaza Drive is being
installed as an interim solution to fix the safety issues. Construction would be April or May.
General discussion.
Chief Borgquist: I don't want to be offensive to anyone. I'm not an engineer but I do go to most
if not all of these crashes or at least my team does. We study this more than anything else, every
location in Eagle. Traffic is our number one issue. We have to figure out how to come together
so that I can have a voice at the table and share my thoughts and ideas. I know where traffic is
going. I did ask the Director a question and the Director did say we would have an answer
quickly on the stop sign at 2nd, because for eight years I have been asking for this. It is going to
be years until we get a roundabout installed at State and Eagle. Traffic is starting to route itself.
I agree with the one ways on 1st Street and Aikens. I have tried to get involved with the Traffic
Advisory Committee and to be honest they are doing one thing and they are doing another, it is
not coming together. They are talking about bikes and bike lanes and we are talking about actual
design. I'm willing to help and do whatever I can. We need to have a way to collaborate, get on
the same page and get our objectives in line. We either need to have a Traffic Advisory
Committee that either presents to the Council a list of objectives or we need to say thank you for
your time and move on and my office, the planners and ACHD can met and do all of this stuff.
That would be my solution. Discussion on the traffic problems around Plaza and Eagle Road.

A. Eagle Pavilion Concert Series: Bob VanArnem, I have a couple of suggestions. I attended
two of the Picnic at the Pops. When we were checked going in we were unable to take water
from home and our basket was checked for alcohol. I think this could loosen up. The parking lot
is a dust bowl. I'm wondering if a water truck could be provided. General discussion.
Terry Sullivan, I had a problem with the concerts that are happening on school nights. The last
concert was really loud. I went to the Gershwin and it was fabulous. The noise was louder from
9:00 p.m. on. General discussion.
B. Other: Foad Roghani discusses the articles that were in the paper in regards to the Bond
Election. The public wants to know where you stand on the issue of what you are going to do
with the savings and what is going to happen with the taxes. Are you planning on having a
public hearing to discuss this? General discussion.
Jeff Kunz discusses the articles on the bond election that was in the Valley Times and the
adoption of Ordinance No. 680. General discussion.

Annexation and Rezone - M3 Companies: M3 Companies, represented by
Gerry Robbins is requesting approval of an annexation and rezone from RR
(Rural Residential—Ada County designation)to R-E(Residential-Estates—up to
one (1) unit per two (2) acres). The 9.96-acre site is located on the east side of
State Highway 16 at the northeast corner of State Highway 16 and West Equest
Lane at 8660 West Equest Lane(Lot 1, Block 1, Gulch Ranch Estates).
C. Idaho Humane Society Animal Control Contract for fiscal year 2012-2013:

Fundraiser. The event takes place along the Boise River behind Merrill Park.

7C. Sports Complex Ball Fields in Eagle discussion: The West Valley Little League includes
approximately 700 Eagle children that participate in their events. The parents felt somewhat
rebuffed when they attended the Council meeting where the grant application was discussed.
They felt the City Council was not behind their programs, but favored the bike park expansion.
Since that meeting, Star has offered to build them two ball fields to accommodate the League and
the parents are strongly considering moving the entire operation to Star. No further effort has
apparently been made to apply for the grant with the City of Eagle. (JDR)[est. 30 min.]
Public comment is encouraged on this item.

Grasser reports on the West Valley Little League Board meeting where the Board discussed the
City of Star's proposal to build them ball fields.
Michelle Bailey, President of West Valley Little League,the discussion that we had three months
ago was not a warm and fuzzy. We did get the support from the Council to move forward on the
Grant. However, it was with the notion that we are going to allow you do this letter at this point
knowing that there is still further discussion and we can decline it at that time. This was said by
Council Butler or Defayette. The City of Star actually approached us and asked us what we
would like and they would build what we want. Even if we don't go with Star they will go ahead
and build the fields. West Valley Little League has been in the City of Eagle for 20 years. We
have 600 to 700 kids. We are in desperate need of fields. We do host a district tournament each
year. We had the opportunity to host State tournaments but it went to Meridian because they had
fields in one location. We really thought be brought something to the City that would help
everyone. Discussion on the schedule. General discussion.
Casey Warner, I served as the fund raiser coordinator, I was at that June meeting as well. From
my perspective was that the lack of warm, fuzzy was based on funding and based upon that there
was not stipulation that all of the grant money would go to West Valley Little League. There
was no guarantee that all of the grant money would be going for baseball fields. As a Board we
felt a little uncertain that we would receive all of the grant funds. Discussion on funding raising.

Marci Lundgren, it would be a real hardship on the parents and kids to have to go to Star or out
of the area for practice and games. General discussion.
Chad Moffat, I have been involved with West Valley for several years. West Valley is very
generous in sharing their fields. The fields at the Nazarene Church were built by a lot of
volunteer effort also. I do fast ball and we have to travel to other cities in the area because there
are not enough fields. General discussion.
Marshall Henry, I have been with West Valley for 17 years. At the last meeting I thought there
was a lot of hostility from the Council. I have seen Eagle shoot themselves in the foot many
times. They have driven business out. This is a multi-billion dollar industry. All we asked was
for permission to go down the road to get the grant. You put the cart before the horse. I was
shocked that Star stepped up to the plate. What is Eagle going to do?
Jeff Kunz, shares some statistic with the Council on baseball and West Valley. These statistic
shows that the City of Eagle should be supporting West Valley Little League.
Steve Deckers, little league is not only for the kids it is also for the parents. What is the
downside? We start losing our community identity. This is a great thing for the future of this
community.

Darrin Brewster, I have been a coach for 10 years. I became involved with West Valley three
years ago. This same situation came up in the town in Montana where I lived. We end up and
went to a town down the road. We built a complex and the league grew by 30%. Discussion on
the need for fields and the opportunity for fields in Star. I will go to Star if I have to but I would
rather stay here. General discussion.
Bill McCarrol, I am a State District Administrator for Little League. Every year you are going to
have a State Tournament. There is a huge need in Eagle. Discussion on the need for fields in the
valley. It was voted on,I would suggest to the Little League to run with it. Go for it.

Mayor introduces the issue.
Chief Borgquist: I had an application before me to approve an outside open container permit for
the Gathering Place for multiple day. I was not comfortable to approve this application without
coming before you. In the meantime I did approve the Saturdays leading up to this meeting. We
have received no complaints,the crowds have been manageable, and they have been in
compliance with everything that I requested. General discussion.
Bill McCarrel, I don't think that we are going to do this any more this year. My intent was to
create something happening down town. The crowds haven't been big. General discussion.

City Attorney Buxton: Your ordinance was limited to a 15 year bond. An Ordinance pursuant to
law provides for all of the information with regard to the anticipated 3% interest rate and gives a
range. 15 years maximum life. The total amount anticipated interest to be paid over the life of
the bond is anticipated to be $373,763.00. The total amount to be paid over the life of the bond
is $1,873,763.00. Discussion on the Library GO Bond and a possibility that this bond could be
refinanced with the financing of the City Hall purchase. GO bonds are the safest bonds and have
the lowest interest rates. General discussion.
City Attorney Buxton: I would ask you to amend the agenda to talk about the Fourth
Amendment to the Lease Agreement at this time.

Mike Piper, I grew up playing baseball. Whatever we do with that property we need to be very
careful what we do here. Having professionally managed and developed the bike community
would support that. General discussion.

REPORTS:
Mayor and Council Reports and Concerns:
Mayor reports on his trip to Seattle to met with Leonard Smith, Regional Director, and his
assistant. I went with Steve Fultz. We had an opportunity to present. Smith was very
encouraging. He wants to have a list of the layoffs in the area and he wants confirmation from
ACHD that they maintain our streets. Reports on the Incubator Project. The Incubator Project
will be on the October 9, 2012 Council meeting.
Discussion on having a Town Hall Meeting or an Open House in October to discuss the Bond
Election.
Council concurs to have a Town Hall Meeting on October 17th at 6:00 p.m. with a tour of City
Hall and Q/A on Bond financing. The Pre-Council at the October 23red Council meeting with be
another Q/A session on Bond financing.
Semanko: Word of my concern about that the Concert folks not being here reached one of their
representatives and he wanted to make sure that we knew they were not advised by staff that it
was tonight. I would think that since it is supposed to be the first meeting of every month and
that meeting was cancelled they would have figured out that they should have been here tonight.
Maybe we need encourage them to be here at the next meeting to address the concerns that were
raised and let them know about the dust,the alcohol and the school nights.
Jeff had a question on the Bond Election so I'm going to ask him to step up.
Jeff Kunz: discussion on the bond election and the paragraph on the ballot regarding the interest.
Discussion on the net savings on the Bond and the savings by the ownership analysis. General

Library Director's Bumgarner: We are going to expand our hours. We are going to be open on
Mondays from 9:00 a.m. to 8:00 p.m. and on Saturday we are going to be open at 9:00 a.m. to
5:00 p.m. we are now opening at 11:00 a.m. We are able to do this with being more efficient, it
is really work flow. We are back up to the hours that the Library has offered at the most.

City Attorney Report: We have had several meetings with M3 staff in regards to their
development standards. They are going to be coming in with a Foxtail Development Agreement.
The CID will be proceeding on the annexation of the 10 acres. General discussion.

FOURTH AMENDMENT TO OFFICE LEASE
THIS FOURTH AMENDMENT TO OFFICE LEASE is made the day of
, 2012 ("Fourth Amendment"), by and between HAWKINS-SMITH
EAGLE HALL LLC, an Idaho limited liability company ("H -S") and CITY OF EAGLE,
an Idaho municipal corporation ("City"). H -S and the City may be referred to herein as
the "parties" or a "party", as the case may be.
RECITALS
A. H -S, as Landlord, and the City, as Tenant, entered into that certain Office Lease
dated May 16, 2005, as amended by the: First Amendment to Office Lease dated
October 25, 2005; Second Amendment to Office Lease dated September 11,
2006; and, Third Amendment to Office Lease dated September 29, 1010
(collectively, the "Lease"), for certain property and improvements as defined
more specifically therein as "Premises". Any capitalized terms not defined herein
shall have the same meanings as in the Lease.
B. Under the Lease, the City has the right to purchase the Premises for Two Million
Four Hundred Fifteen Thousand Six Hundred and Eighty -Seven Dollars
($2,415,687.00). The City would like to buy the Premises because of the current
favorable bond rates. However, the City is currently not in a position to pay the
purchase price. H -S has agreed to donate a portion of the Premises to the City
and the City has agreed to pay One Million Eight Hundred Ninety Nine Thousand
Nine Hundred and Ninety -Nine Dollars ($1,899,999.00) toward the purchase
price. The parties have agreed to amend Exhibit D of the Lease to reflect the
below market acquisition price. Landlord agrees to pay for any appraisals and will
take the sole responsibility for proper tax treatment of the donation. The City, as
Tenant will cooperate with Landlord as necessary with regard to the donation but
Tenant will not undertake any responsibility to establish the donation amount as
may be allowed by state or federal tax laws or regulations.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing Recitals and other good
and valuable consideration, the parties do hereby agree to amend the Lease as
follows:
1. Defined Terms. Any capitalized term not otherwise defined in this Second
Amendment shall have such meaning as ascribed to such term in the Lease.
2. Adiustment to Purchase Price Reeardine Sauare Footage. As described by the Lease,
the City has an option to purchase the Improvements constructed by H -S. The parties
acknowledge that the purchase for the Improvements is based, in part, on H -S's cost
for constructing the Building and related site improvements and on the current fair

market value thereof. The parties have agreed to amend Exhibit D to allow the City
to Purchase the Improvements for $1,899,999.00, and Landlord will donate the
residual difference from the Purchase Price set forth in Exhibit D as established by
necessary appraisals for Landlord to claim such donation on its taxes. Landlord
agrees to pay for the appraisal and will take the sole responsibility for proper tax
treatment of the donation. The City, as Tenant will cooperate with Landlord as
necessary with regard to the donation but Tenant will not undertake any responsibility
or liability for the donation amount claimed by Landlord as may be allowed by state
or federal tax laws or regulations.
a. Bond Election. The City will hold a General Obligation ("G.O.") Bond
Election on November 6, 2012 for the purchase of the Improvements.
b. Closing. In the event the G.O. Bond is approved by the City Electors, the
City will close the purchase on or before February 1, 2013.
c. Ongoing Rent. The City shall pay rent to Landlord up to Closing as set forth
in the Third Amendment to Office Lease dated September 29, 2010.
d. Effect of Failure to Pass the G.O. Bond. In the event the G.O. Bond is not
passed as required by Idaho law, the Purchase Price set forth in Exhibit D as
amended in the First Amendment to Office Lease shall remain in full force
and effect.
3. Counterparts. This Fourth Amendment may be executed in any number of
counterparts, each of which shall be an original, but all of such counterparts shall
together constitute one and the same instrument. Delivery of an executed counterpart
of this Fourth Amendment by facsimile or other electronic means shall be equally
effective as delivery of a manually executed original counterpart of this Fourth
Amendment.
4. Full Force and Effect. Except as modified in this Fourth Amendment, the Lease
shall remain unchanged and in full force and effect. In the event of any conflict
between the Lease and this Fourth Amendment, this Fourth Amendment shall control.
