MAYORAL APPOINTMENT AGREEMENT
THIS AGREEMENT is made and entered into this 12th day of October, 2010, by and between
the CITY OF EAGLE, ADA COUNTY, IDAHO hereinafter referred to as "Eagle", and James D.
Reynolds, hereinafter referred to as "Mayor",
WITNESSETH:
WHEREAS, pursuant to Idaho Code S 50-608 where the office of mayor incurs a vacancy by
reason of death, resignation or permanent disability, the City Council shall fill the vacancy from
within or without the council as may be deemed in the best interests of the city, which said mayor
shall serve the remainder of the mayoral term, which shall expire in at the first City Council meeting
in January, 2012;
WHEREAS, upon appointment by the City Council, the Mayor shall be vested with all the
powers and responsibilities as an elected mayoral position pursuant to Title 50, Chapter 6 of the
Idaho Code, and Title 1, Chapter 5 of the Eagle City Code;
WHEREAS, by unanimous decision dated April 13, 2010 the Eagle City Council solicited
applications for the position of Mayor from qualified electors of the City of Eagle;
WHEREAS, on October 26, 2010, following a comprehensive selection process, the City
Council selected James D. Reynolds to be the appointed as the Mayor for the City of Eagle.
NOW, THEREFORE, for and in consideration of such employment, the compensation paid
by the City of Eagle to Mayor and the mutual terms and conditions contained herein, the parties
hereto do hereby agree as follows:
1. APPOINTMENT. The City of Eagle hereby appoints as Mayor, James D. Reynolds,
who hereby accepts the appointment from the City Council upon the terms and conditions hereinafter
set forth to the full extent such terms and conditions are enforceable under applicable law.

2. TERM. The employment shall commence on the date of execution of this Agreement
and shall continue for the remainder of the present mayoral term set to expire at the first City Council
meeting held in January, 2012 following the next general city election, at which election a mayor
shall be elected for the subsequent full four (4) year term.
3. POWERS. The Mayoral position is a full-time position. The Mayor is hereby vested
with and expected to exercise all those powers and responsibilities inherent in the mayoral position
pursuant to Title 50, Chapter 6 ofthe Idaho Code, and Title 1, Chapter 5 ofthe Eagle City Code.
3. COMPENSATION. As an explicit condition to the selection process and to this
Agreement, the City Council for the City of Eagle and the Mayor specifically designate as
compensation for the mayoral services rendered under the terms of this Agreement an annual salary
of Thirty Thousand Dollars ($30,000.00), which both parties acknowledge is a reduction from the
existing mayoral salary pursuant to Eagle City Code 1-5-3(A).
4. BENEFITS. As the chief executive officer ofthe City, the Mayor shall be classified
as a full-time exempt employee of the City of Eagle entitled and subject to the compensation policies
of the City of Eagle including, but not limited to, annual leave, holiday leave, health insurance,
PERSI retirement benefits, and other such policies as specifically set forth Eagle City Personnel
Policy manual.
5. TERMINA nON. As the chief executive officer ofthe City, the Mayoral position
is not an at-will position, and this Agreement may only be terminated as provided by law set
forth at S50-608 and as set forth in Section 2 ofthis Agreement.
6. NOTICE. Any and all notices required under the terms of this Agreement may be
provided as follows:

or at any other address subsequently furnished in writing by either party. Such notice shall be
deemed given and effective when deposited in the United States mail, postage prepaid, properly
addressed, certified with return requested, or upon delivery to the addressee in person.
7. COMPLETE AGREEMENT. It is understood and agreed by and between the parties
hereto that there are no verbal promises, implied promises, agreement, stipulations, representations,
or warranties of any character or kind except those set forth in writing in this Agreement. This
Agreement embodies the entire Agreement and understanding between the parties hereto and
supersedes from the date hereof all prior agreements and understandings relating to the subject
matter hereof.
8. LA W APPLICABLE. This Agreement shall be governed by and construed under the
laws of the State ofldaho.
IN WITNESS WHEREOF, the parties hereto have hereunto set their hands the day and year
