EAGLE SENIOR CITIZEN VAN USE
THIS AGREEMENT made and entered into this..f~~ay of Sep/-eChl~r2009 by and
between the City of Eagle, Idaho, an Idaho municipal corporation, hereinafter designated
as "City", and the Eagle Senior Citizens, Inc., an Idaho non- profit corporation,
hereinafter designated as "Senior Citizens".
WHEREAS, the Senior Citizens own and operate a ten (10) seat, two (2) wheelchair 2003
Goshen Coach Bus, VIN #IFDXE45S23HB38125, hereinafter designated as "Vehicle",
and have requested assistance to defray the costs of operating and maintaining the
Vehicle in order to be of further benefit to the community at large and for the benefit of
elderly and disabled citizens of Eagle and the surrounding area; and
WHEREAS, the City Council of Eagle deems the operation of said Vehicle in the manner
prescribed by this Agreement is a worthwhile project to aid the needs of the elderly and
disabled citizens of Eagle; and
THEREFORE, the City Council of Eagle has determined that the expenses for the use of
said Vehicle, for the uses described herein, will be defrayed as an expenditure of the City
of Eagle in the following manner:
The City of Eagle will pay the Senior Citizens a sum of $14,600.00 annually for the
operation and maintenance ofthe Vehicle beginning with the month of October 2009, and
continuing through September 2010.
EXPIRATION of this Agreement will occur on the thirtieth (30th) day of September
2010, unless extended or terminated by mutual written agreement of the parties hereto, or
at the option of the City, a subsequent agreement is entered into at least sixty (60) days
prior to the expiration date, or unless otherwise provided by this Agreement.
INDEMNITY: The Vehicle of the Senior Center shall be fully insured and the City shall
be named an insured on all applicable insurance policies. The Senior Citizens shall
indemnify and save the City harmless from all expenses, claims, judgments, and liabilities
of every kind, including reasonable counsel fees, by or on behalf of any person(s) or
entity, arising from any occurrence, injury, or damage relating in any way to said Vehicle
described in this Agreement.
