PARKING AGREEMENT
THIS AGREEMENT, made and entered into this /O--rl\- day of S~~ , 2002, by
and between Old Town I LLC (by and though its president, Mark L. Butler), hereinafter referred
to as "Old Town I", and Bill and Tamara Reed, hereinafter referred to as "Reed", and the City of
Eagle (by and though its Mayor, Rick Yzaguirre), hereinafter referred to as "Eagle".
WIT N E SSE T H:
WHEREAS, Old Town I is the owner of the real property described as Lots 1,3,4 and
the west half of Lot 5, all in Block 5, all within the Carpenter's Addition to the Townsite of
Eagle, and also including the south half of the vacated alley lying adjacent to and north of said
Lots 1, 3, 4, and the west half of Lot 5 all in Block 5 (see Exhibit A); and,
WHEREAS, Reed is the owner of the real property described as Lot 2 in Block 5
including the south half of the vacated alley lying adjacent to and north of said Lot 2, both of
which are within Carpenter's Addition to the Townsite of Eagle (see Exhibit A); and,
WHEREAS, Eagle is the owner of the real property described as Lot 6 and the east half of
Lot 5 including the north and south half of the vacated alley lying adj acent to and north of Lot 6
in Block 5 within Carpenter's Addition to the Townsite of Eagle (see Exhibit A); and,
ARTICLE I
CONDITIONS
1.1 All parties hereby agree that the six (6) parking spaces shown on the Reed property depicted
in Exhibit B are for Reed.
1.2 All parties hereby agree that the three (3) parking spaces depicted in Exhibit B at the
northeast comer of the Old Town I property are for Eagle.

1.3 All parties hereby agree that the remaining twenty six (26) parking space~ depicted in Exhibit
B on the Old Town I properties is for Old Town 1.
1.4 Eagle may require additional parking spaces in addition to those originally provided by Reed
and Old Town I upon a finding by the City Council that adequate parking to serve the uses of
Reed and Old Town I have not been provided. The City may, for due cause and upon notice
and hearing, unilaterally modify, amend or terminate this agreement.
1.5 The parties hereto agree to maintain and repair the parking lot. Maintenance and repair of the
parking lot shall include, but not be limited to providing crack repair, seal coating, repaving,
snow and debris removal, and landscaping. Eagle shall maintain and repair the parking lot
and landscaping in the East half of Lot 5 in Block 5 and all East thereof, and Old Town I
along with Reed shall maintain and repair the parking lot and landscaping in the West half of
Lot 5 in Block 5 and all West thereof. (See Exhibit C)
ARTICLE II
DEFAULT
2.1 If required to proceed in a court of law or equity to enforce any provision of this Parking
Agreement, the prevailing party shall be entitled to recover all direct out-of-pocket costs so
incurred to cure or enjoin such default and to enforce the conditions contained in this Parking
Agreement, including reasonable attorneys' fees and court costs.
ARTICLE III
ASSIGNMENT AND TRANSFER
3.1 After its execution, the Parking Agreement shall be recorded in the office of the County
Recorder. Each condition herein shall be a burden on the Properties and shall run with the
land. This Parking Agreement shall be binding on the Owners, and their respective heirs,
administrators, executors, agents, legal representatives, successors, and assigns. Any new
owners of the Properties or any portion thereof (including, without limitation, any owner who
acquires its interest by foreclosure, trustee's sale or otherwise) shall be liable for all
conditions stated within this Agreement with respect to the Property or portion thereof.
ARTICLE IV
GENERAL MATTERS
4.1 Amendments. Any alteration, change, or termination of this Parking Agreement shall be
made only after written approval by each property owner and the City of Eagle, except as
provided in Section n above.

4.2 Paragraph Headings. This Parking Agreement shall be construed according to its fair
meaning and as if prepared by both parties hereto. Titles and captions are for convenience
only and shall not constitute a portion of this Parking Agreement. As used in this Parking
Agreement, masculine, feminine or neuter gender and the singular or plural number shall
each be deemed to include the others wherever and whenever the context so dictates.
4.3 Choice of Law. This Parking Agreement shall be construed in accordance with the laws of
the State of Idaho. Any action brought in connection with this Parking Agreement shall be
brought in the Fourth Judicial District in Ada County, Idaho.
4.4 Notices. Any notice which a party may desire to give to another party must be in writing and
may be given by personal delivery, by mailing the same by registered or certified mail, return
receipt requested postage prepaid, or by Federal Express or other reputable overnight delivery
service, to the party to whom the notice is directed. Any such notice shall be deemed given
upon receipt ifby personal delivery, forty-eight (48) hours after deposit in the United States
mail, if sent by mail pursuant to the foregoing, or twenty-four (24) hours after timely deposit
with a reputable overnight delivery service.
4.5 Effective Date. This Parking Agreement shall be effective after delivery to each of the
parties hereto of a fully executed copy of this Parking Agreement.
4.6 Termination of Prior Agreement. The previous Parking Agreement recorded as Instrument
#101027630 is hereby terminated.
IN WITNESS WHEREOF, the parties have executed this Cross Access and Through Access
Agreement.
