This original AGREEMENT entered into on May 28, 1997, between HOLLADAY
ENGINEERING CO. and the CITY OF EAGLE, IDAHO, for professional engineering service~
shall be amended as follows:
The contract time is extended to remain open. Either party may terminate this
contract by providing 30 days written notice to the other party.
All other conditions of the original agreement shall remain in full force and effect.

PROFESSIONAL SERVICES AGREEMENT
This is an Agreement made effective as of the date of signature between the person or organization as identified by
authorized representative's signature, hereinafter called OWNER and Holladay Engineering Company, of Payette,
Idaho, hereinafter called CONSULTANT.

SCOPE OF WORK
DESCRIPTION OF REQUIRED WORK
As City Engineer, Consultant will provide customary civil engineering services to assist the Owner.
Services may include the following:
· Perform review and comment on lot line adjustments, lot splits, and preliminary and final subdivision
plats; sign lot line adjustment, lot split and final plat mylars;
· Perform review and comment on submitted plans and specifications involving engineering related
issues; perform review and comment on City and agency studies involving engineering related issues;
· Suggest, and comment on, engineering related ordinance changes;
· Advise the Mayor and Council on issues affecting the City including specific project proposals,
infrastructure expansion, floodplain modifications, storm water and erosion control, ground water
studies, and GIS mapping;
· and other professional engineering related tasks as may be assigned by the Mayor and Council.
To ensure duplicate file contents are maintained in the Consultant's and Owner's offices, a procedure has
been established to send and/or ensure that a "Client File Copy" of all related information for each
projecUtask made known to the Consultant will be distributed to the Owner.
This Agreement shall have a period of 365 calendar days including holidays and weekends and shall begin
upon the date of signatures contained herein. OWNER shall pay CONSULTANT according to the following:

Administrative Office Policy
for Professional Engineering
March, 1997
This policy applies to all written communications including review of other firms work
products and duties as a Professional of Record.
I. WRITTEN COMMUNICATIONS
In general, written communications include the following classes of documents and
the standard review and signature policy for each.
A. Construction plans
and specifications
Plans, and specification sections written especially for
the project, shall be given a "red-and-yellow" check by
the Project Engineer (a P.E.): each detail, the
dimensions of major views, and each note shall be
marked with yellow highlighter by the checker if not
corrected in red. Each paragraph of special
specifications (written for the individual project), the
Advertisement for Bids, the Itemized Bid and any other
project-specific page in the Specifications shall be
similarly marked. When the Project Engineer finds that
the project is complete, the plans and specifications
shall be reviewed by another P.E. on the HECD staff.
The Project Engineer's seal is to be used on each sheet
of plans designed or supervised, if designed by an
intern. Spaces for listing drafter and designer initials
shall be provided on the nameplate of each sheet this
nameplate listing is the vehicle for giving credit to
drafters and to engineers-in-training performing design.
If another P.E. designs a specific part (for instance, a
Structural Engineer designing a small bridge included in
a highway project), that P.E.'s seal shall be used on that
part of the plans. The Project Engineer's seal shall
appear on the title sheet of the specifications. The seal
of the Principal Engineer in responsible charge shall
appear on the title sheet of the plans, per requirements
of Idaho Code 54-1215.

Formal reports shall be internally reviewed, and the
author's name and professional seal shall appear on the
title sheet. Any formal report prepared by an engineer-
in-training shall be co-authored by a PE and the names
of all co-authors shall appear on the title sheet, with the
seals of the registered co-authors.
Reports and letters shall be reviewed internally. If
engineering design considerations as well as planning
considerations are discussed, they shall be co-authored
by a PE and issued with dual signatures by the
composing author and the Engineer of Record. If the
content is restricted to planning questions, only the
signature of the composing author is needed.
Maps are distinct from other documents prepared by
HECO because they are generally compiled from
diverse data sources, often of varying degrees of
precision, for specific purposes as agreed upon with the
clients. If signatures are required, the Professional
Services Agreement (PSA) for the project will define the
requirement. The HECO copyright statement shall
appear on all maps compiled by the company. Where
applicable, a disclaimer statement explaining that the
data that is plotted has been supplied by other sources
and that HECO cannot assume responsibility for errors
or omissions will also be required. Other contents, and
the question of whether the name of Holladay
Engineering Company is to be prominently shown,
depend on the PSA. All maps shall be reviewed
internally and review copies initialed by the reviewer
prior to issuance.
Documents offering or creating business commitments
for the company (especially proposals, Scope of Work
letters, and Professional Service Agreements) shall be
reviewed and initialed by a corporate officer and signed
by another corporate officer.

E. Letters of
professional
comment
Letters of professional comment, including presentation
of design-related information or technical discussion to
regulatory agency personnel, letters reporting findings
of reviews of designs by other engineers performed by
HECO staff in the capacity of City or County Engineer,
and review of material submittals by vendors offering
"equivalents" for construction projects, shall be
reviewed for content by a qualified professional other
than the author. If the letter includes any statement of
rejection of all or part of another engineer's design, or
any controversy with a regulator, it should also be
reviewed and cleared by an officer of the corporation.
Letters in this category shall bear the signature of a
registered professional of the appropriate discipline. If
the letter was authored by an intern, it shall bear both
signatures (intern and the Engineer or Geologist of
Record).
G. Memoranda and
informal
information
Memoranda and other informal and non-controversial
documents, including communications restricted to
statements of meeting schedules, meeting agendas,
and general memoranda to other employees, should
bear the author's name, but do not require formal
internal review.
II. GENERAL POLICIES
A. Internal identification job number and computer file number should be
listed on every document to facilitate filing and retrieval.

high priority.
