Mou/Moa - 1975 - Idaho Power Street Lighting - 8/12/1975 IDAhu POWER COMPANY--STREET LIGHTING CONTRACT 0.1 THIS CONTRA~T Made and entered into this 12th day of AUGUST , 195i$ by and between the <..;ITY OF EAGLE , a municipal corporation of the state of IDAHO , hereinafter designated as "City," and IDAHO POWER COMPANY, a corporation, hereinafter designated .as "Company": WIT N E SSE T H: 0.2 WHEREAS, the execution of this Contract by has been duly authorized by ~rd'irTaTlee-~oMINUTES of the EAGLE , signed by the MA YOR 19~ and Company has accepted the undertakings, terms and Ordinance and as hereinafter in this Contract set forth; CITY OF EAGLE ~TY on JULY 9, conditions described in of said NOW, THEREFORE, city and Company do hereby mutually agree as follows: Article I - Service and Facilities Practices 1.1 company shall supply and sell to city, and city shall take and pay for, in accordance with the terms and provisions hereof, all outdoor lighting service used by City for purposes of illuminating the streets, alleys, public grounds and thoroughfares of the City and any extension or additions thereto. 1.2 with ation Street lighting facilities provided by Company shall be installed in the company specifications as to equipment and installation. Maintenance shall be in accordance with the Company's standard procedures. accordance and oper- 1.3 Title to and ownership of all facilities installed and paid for by company for street lighting service, as provided herein, are and shall at all times remain vested in company. 1.4 company will, as soon as practical after becoming aware of any lamp failure, replace any of said lamps which shall have burned out or ceased to function. City, through its police force, assumes the obligation of patrolling for and reporting lamp failures to Company. 1.5 Company at all times, except when prevented by accident or emergency causes beyond its control, will supply the electric energy and the equipment, facilities and service required for switching on and off such energy, for continuous dusk to dawn oper- ation of all lights or lamps of the street lighting system provided for hereunder. How- ever, Company does not assume responsibility for and shall not be liable for any damage, direct or consequential, caused by interruptions or failures of service due to acts of God, the elements, accidents, strikes, malicious acts by third parties or any other cause beyond its control. Article II - Rates and Charges 2.1 city will pay company for the street lighting services supplied by company in accordance with the following schedules: (a) Overhead Lighting - company-owned System - Schedule No. 41 "A" Lamp locations and lamp sizes shall be as shown on "Exhibit A" attached hereto as changed from time to time by order of the City. (b) Ornamental Lighting - Customer-owned - Schedule No. 41 "B" Lamp locations and lamp sizes shall be as shown on "Exhibit B" attached hereto as changed from time to time by order of the City. (c) Traffic Control Signal Lighting Service - Schedule No. 42 Lamp locations, lamp sizes and hours of burning shall be as shown on "Exhibit C" hereof as changed from time to time by order of the City. The rates of the foregoing, unless specifically stated in the Schedule, shall be established and adjusted to accord with hours of burning, watt- age and the applicable rate or multiple thereof. (See other side) MINUTES AND CERTIFICATE There was presented to the meeting a form of street lighting contract with Idaho Power Company, which proposed contract was read at length, and after full consideration of the same,__~.9~nGj.1I!!~IL--- moved the adoption of the following resolution which was presented in writing and read in full to the meeting: "BE IT RESOLVED BY THE CITY OF EAGLE city council AS FOLLOWS: OF "WHEREAS, There is now before this body for action a form of street lighting contract with Idaho Power Company, and said proposed contract has received the careful consideration of this body, and it is believed that it is for the best interests of this municipality that such contract be executed and entered into; NOW, THEREFORE, the___..~MAY~____is hereby authorized and directed, in his official capacity, to execute said contract in duplicate, and the Clerk is authorized and dir.ccted to affix the corporate seal of this municipality to each of said duplicates of said contract and to attest and certify the same, and upon full execution thereof, to deliver one of said duplicates to the Idaho Power Company, and to retain the other as a part of the records of his office." (2) Intersection, center suspended street lighting units using two poles are considered to be one pole, the second pole being used instead of a mast arm (3) Additional Monthly Rate for wood pole is not applicable to street lighting units originally installed under 41-A (marked **) until such fixtures or poles appurten- ant thereto are modernized or replaced by Company or pursuant to order by City.
