EASEMENT AGREEMENT
, This EASEMENT AGREEMENT (this "Agreement") is made this 13__ day of
1rl1r...ch_____, 2007, by and between the City of Eagle, an Idaho municipal corporation, whose
address is 660 E. Civic Lane, Eagle, Idaho 83616 (hereinafter referred to as "City") and Eagle Partners
LLC, an Idaho limited liability company (hereinafter referred to as "Developer").
RECITALS
A. City is the owner of certain real property located in Ada County, Idaho, which real estate
is legally described on Exhibit A, attached hereto and made a part hereof (hereinafter referred to as the
"Burdened Parcel").
B. Developer is the owner of and is constructing improvements upon certain real property
adjacent to the Burdened Parcel, as more particularly described on Exhibit B, attached hereto and made
a part hereof (hereinafter referred to as "Developer's Parcel") for which Developer requires construction
of utilities over and across the Burdened Parcel.
C. City desires to grant a public utilities easement on, over, across, under and through the
Burdened Parcel as more particularly described on Exhibit C attached hereto and made a part hereof
(hereinafter referred to as the "Easement Parcel") for the benefit of Developer's Parcel, subject to the
terms and conditions set forth herein.
D. As consideration for the easement granted hereby by City, Developer will donate the
amount of Three Thousand Five Hundred and No/100 Dollars ($3,500.00) to the Eagle City Tree Fund.
AGREEMENT
NOW THEREFORE, in consideration of the above recitals, each of which is incorporated herein,
and of the mutual representations, covenants and agreements of the parties herein contained, the parties
hereto agree as follows:
1. City, subject to the terms and conditions hereinafter set forth, hereby grants an
easement over, across, and under the Burdened Parcel and more particularly described on
Exhibit C and depicted on Exhibit D attached hereto and incorporated herein, for the purpose of
construction, installation, maintenance, repair, use and operation of public utilities and related
facilities.
2. The duration of the easement herein described shall be perpetual until
specifically terminated or abandoned by the City and Developer, or their successors and assigns,
for the stated purpose.
3. The easement herein declared shall specifically include, without limiting the
foregoing, the right of any public, private, or municipal utility corporation or district, its agents,
employees, contractors, and assigns, to traverse the easement with vehicles and equipment, and
to make such improvements and excavations thereon and thereunder as may be reasonably

necessary to construct, install, maintain, repair, replace, operate, or use the Easement Parcel in
connection with public utilities.
5. As a specific condition of any future use of or benefit from the Easement Parcel,
City shall be held harmless from any and all liability for personal injury and property damage
resulting from, or in any way connected with, said public utilities or any related facilities or
activities conducted or located within the Easement Parcel, except liability for personal injuries or
property damage caused solely by the negligence or wrongdoing of the City.
6. Developer, Developer's successors and assigns, any public, private, or municipal
utility corporation or district, and any third party benefiting from the Easement Parcel, shall, at all
times, properly maintain the easement herein granted, and prevent the same from becoming
dangerous and/or unsightly. Further, such users and beneficiaries shall take all reasonable steps
to restore and revegetate any ground areas disturbed by construction or related activities in the
easement herein granted to their original condition prior to such construction or related activities
or as otherwise required in connection with City approvals under Eagle City Files A-01-06 and
RZ-01-06.
7. City hereby declares that the easement herein granted is non-exclusive, and the
City, or its heirs, successors or assigns, shall be entitled at all times to travel over the Easement
Parcel, and to conduct any and all activities which it may desire to conduct in the Easement
Parcel provided the same do not unreasonably interfere with the use of said easement for the
construction, installation, maintenance, repair, operation or use of any public utilities thereon.
